Scope of Work

Payment Terms

Client agrees to pay Service Provider for the services described above in accordance with the following terms.

Late payments shall incur interest at a rate of per month on the outstanding balance, or the maximum rate permitted by law, whichever is lower.

Term and Termination

The term of this Agreement commences on Start Date: , and continues until End Date: , unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon written notice given at least days prior to the intended termination date. Either party may terminate for material breach if the breaching party fails to cure such breach within thirty (30) days following written notice of breach.

Confidentiality

Each party shall maintain in confidence all Confidential Information of the other party disclosed in connection with this Agreement and shall not use or disclose such information except as necessary to perform its obligations hereunder. Confidential Information shall remain confidential for a period of years after termination or expiration of this Agreement. Confidential Information does not include information that is or becomes publicly available without breach of this Agreement, or that is independently developed by the receiving party.

Intellectual Property and Deliverables

Subject to Client's timely payment of all amounts due, Service Provider assigns to Client all right, title and interest in and to the final deliverables created specifically for Client under this Agreement. Service Provider retains ownership of its pre-existing materials, methodologies and tools. The parties shall execute any documents reasonably necessary to effectuate such assignment.

Indemnification; Limitation of Liability

Each party shall indemnify, defend and hold harmless the other party from and against third-party claims arising from the indemnifying party's gross negligence or willful misconduct. Except for liability arising from indemnification obligations or willful misconduct, neither party's aggregate liability under this Agreement shall exceed the total fees paid by Client to Service Provider under this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its choice-of-law principles.

Entire Agreement; Amendments

This Agreement, including any exhibits or attachments expressly incorporated by reference, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals and communications. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.

Representations and Warranties

Each party represents and warrants that it has the full corporate right, power and authority to enter into and perform this Agreement and that the execution and delivery of this Agreement has been duly authorized by all necessary corporate action.

Notices

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. The parties are independent contractors and nothing in this Agreement shall create a partnership or joint venture.
