Either party may terminate this Agreement for material breach by the other party if the breach is not cured within the notice period specified above. Termination for convenience by either party shall be effective only upon the provision of the notice period set forth above, except that Client shall pay Provider for all services performed through the effective date of termination plus any non-cancellable commitments reasonably incurred.

CONFIDENTIALITY

Each party acknowledges that during performance of this Agreement it may receive Confidential Information of the other party. "Confidential Information" means all non-public information disclosed by a disclosing party to the receiving party, whether in written, oral, electronic or other form, that is marked confidential or would reasonably be considered confidential under the circumstances.

The receiving party agrees to: (a) hold such Confidential Information in strict confidence; (b) use the Confidential Information solely for the performance of obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to those employees, agents, or contractors who have a need to know and who are bound by confidentiality obligations no less protective than those herein.

Exceptions: Confidential Information does not include information that: (i) is or becomes publicly known without breach of this Agreement; (ii) is received from a third party without restriction; (iii) is independently developed by the receiving party; or (iv) is required to be disclosed by law or valid legal process, provided the receiving party gives prompt written notice and cooperates with reasonable protective measures.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles. The parties consent to the exclusive jurisdiction of courts located in Long Beach for disputes arising under this Agreement.

ENTIRE AGREEMENT
