BUSINESS DOCUMENT LONG FORM

This General Business Agreement (the Agreement) is made and entered into as of Effective Date: by and between:

RECITALS

WHEREAS, Client seeks to obtain certain business services described below and Provider represents that it has the professional capability and resources to provide such services in accordance with the terms set forth herein;

WHEREAS, the parties desire to set forth the scope, schedule, compensation and other terms under which Provider will perform services for Client;

NOW, THEREFORE, in consideration of the mutual promises and covenants contained in this Agreement, the parties agree as follows:

SCOPE OF WORK

Provider shall perform the services and deliverables described below. Provider shall perform services professionally, in good faith and in accordance with industry standards.

PAYMENT TERMS

Client shall pay Provider the amounts set forth below in consideration for Provider's performance. All amounts are payable in lawful currency unless otherwise agreed in writing.

Invoices issued by Provider are due within days of receipt. Past due amounts shall accrue interest at % per month (or the maximum rate permitted by law), compounded monthly, and Client shall be responsible for collection costs and reasonable attorneys' fees.

All payments are exclusive of taxes. Unless Client provides a valid exemption certificate, Client shall pay any applicable sales, use, value-added or other transaction taxes and duties.

TERM AND TERMINATION

Term: This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon written notice of days to the other party. Either party may terminate for material breach if the breaching party fails to cure such breach within days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Each party (the Receiving Party) shall hold Confidential Information of the other party (the Disclosing Party) in strict confidence and shall not disclose or use such Confidential Information except as necessary to perform its obligations under this Agreement or as required by law. Confidential Information shall not include information that is or becomes publicly available other than through a breach of this Agreement, or that is rightfully received from a third party without restriction.

Confidentiality Obligations shall survive termination of this Agreement for years, except that trade secrets shall be protected for as long as they remain trade secrets under applicable law.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Each party shall indemnify, defend and hold harmless the other party from and against third-party claims arising out of the indemnitor's negligence, willful misconduct, or breach of its material obligations under this Agreement. EXCEPT FOR A PARTY'S INDEMNIFICATION OBLIGATIONS OR BREACH OF CONFIDENTIALITY, NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. A PARTY'S AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNTS PAID OR PAYABLE BY CLIENT TO PROVIDER UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties shall attempt in good faith to resolve disputes through negotiation, and any unresolved dispute shall be resolved by binding arbitration conducted in the county in which Client's principal place of business is located, unless the parties agree otherwise in writing.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Assignment: Neither party may assign or transfer this Agreement or any rights hereunder without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger, acquisition or sale of substantially all of its assets.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
