WHEREAS

PAYMENT TERMS

As consideration for the services provided by Provider, Client shall pay Provider in accordance with the fee schedule set forth below. All fees are exclusive of taxes, unless otherwise stated, and Client shall be responsible for applicable taxes.

Any undisputed amount not paid within the period set above shall accrue interest at the rate of or the maximum rate permitted by law, whichever is less. Client shall also reimburse Provider for reasonable collection costs, including attorneys' fees, incurred to recover overdue amounts.

TERM AND TERMINATION

Termination for Convenience: Either party may terminate this Agreement without cause by providing written notice at least days prior to the effective termination date. Termination for Cause: Either party may terminate for material breach if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Definition: "Confidential Information" means non-public information disclosed by one party ("Disclosing Party") to the other ("Receiving Party") in connection with this Agreement, whether oral, written, electronic, or observed, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Obligations: Receiving Party shall (i) use Confidential Information solely to perform its obligations under this Agreement; (ii) protect Confidential Information with the same degree of care it uses to protect its own confidential information but in no event less than reasonable care; and (iii) not disclose Confidential Information to any third party except to personnel, agents, or subcontractors who have a need to know and who are bound by confidentiality obligations at least as protective as those in this Agreement.

Exceptions: Confidential Information does not include information that: (a) is or becomes generally available to the public through no fault of Receiving Party; (b) was rightfully known to Receiving Party prior to disclosure; (c) is received from a third party without breach of any obligation of confidentiality; or (d) is independently developed without use of or reference to Disclosing Party's Confidential Information. Disclosure required by law shall be made only after prompt notice to Disclosing Party and cooperation to seek protective treatment.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of courts located in that State for disputes arising out of or relating to this Agreement.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written. No amendment or modification of this Agreement shall be binding unless in writing and signed by authorized representatives of both parties.

NOTICES

Notices to the parties shall be sent to the addresses and contact persons set forth below and shall be effective when delivered by hand, by nationally recognized courier, or three (3) business days after being mailed by certified mail, return receipt requested.

MISCELLANEOUS

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger, sale of substantially all assets, or change of control provided the assignee assumes all obligations hereunder.

Remedies: Except as otherwise provided in this Agreement, the remedies provided herein are cumulative and in addition to all other remedies available at law or in equity. The prevailing party in any action to enforce this Agreement shall be entitled to recover reasonable attorneys' fees and costs.
