BUSINESS DOCUMENT LOTS AGREEMENT

RECITALS

THIS AGREEMENT is made effective as of (the "Effective Date"), by and between Client Name: with principal address at ;

WHEREAS, Provider Name: possesses the ability to prepare, assemble, and deliver lots of business-related documents, templates, and form sets (the "Document Lots"); and

WHEREAS, Client desires to obtain from Provider certain Document Lots under the terms set forth below and Provider agrees to provide such Document Lots on the terms and conditions of this Agreement.

SCOPE OF WORK

Provider shall prepare, compile, and deliver Document Lots described as follows. The description below sets the scope, format, and delivery expectations; any material deviation requires prior written agreement by both parties.

PAYMENT TERMS

Client shall pay Provider the consideration set forth below in exchange for delivery and acceptance of the Document Lots.

Late payments shall accrue interest at % per month (or the maximum lawful rate if less). Client shall also reimburse Provider for reasonable collection costs and attorneys' fees incurred in enforcing payment.

TERM AND TERMINATION

This Agreement commences on and shall continue until , unless earlier terminated in accordance with this Agreement.

CONFIDENTIALITY

"Confidential Information" means all non-public information disclosed by one party to the other that is identified as confidential or that by its nature would reasonably be considered confidential. Receiving party shall: (a) use Confidential Information only to perform obligations under this Agreement; (b) restrict disclosure to employees or contractors with need-to-know and who are bound to confidentiality obligations at least as protective as those herein; and (c) take commercially reasonable steps to protect such Confidential Information from unauthorized disclosure. Confidential Information does not include information that is: already known to the receiving party without restriction at the time of disclosure; becomes publicly known through no breach hereof; or is rightfully received from a third party without restriction.

The confidentiality obligations set forth shall survive termination of this Agreement for years.

INTELLECTUAL PROPERTY; LICENSE

Unless otherwise agreed in writing, Provider retains all right, title and interest in preexisting materials and in the form and compilation of Document Lots. Provider grants Client a non-exclusive, non-transferable, limited license to use the delivered Document Lots for Client's internal business purposes as expressly set forth in the Scope of Work. Client shall not resell, sublicense, or distribute Document Lots to third parties except pursuant to a separate written agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of , without regard to its conflicts of laws principles.

MISCELLANEOUS

Entire Agreement: This Agreement, including any exhibits and written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written.

Severability: If any provision of this Agreement is held invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

Notices: Notices shall be in writing and delivered to the addresses set out below or to such other address as a party may designate by written notice to the other party.
