This Business Services Agreement (the Agreement) is entered into as of Effective Date: between Client Name: with Address: and Service Provider Name: with Address:

WHEREAS

WHEREAS, Client engages Provider to perform certain business services and Provider is willing to perform such services under the terms and conditions set forth herein; and

WHEREAS, the parties desire to set forth the scope, schedule, payment, confidentiality, and other terms that will govern the relationship between the parties during the Term of this Agreement.

WHEREAS, Provider represents that it has the experience, personnel, and capacity to perform the services described in this Agreement and will perform them in a professional manner consistent with industry standards.

Scope of Work

Payment Terms

Compensation: Client shall pay Provider the Total Amount: for the services described in this Agreement.

Invoices: Provider shall submit invoices in accordance with the payment schedule above. Payment is due within days of receipt of a proper invoice.

Late Payment: Any undisputed amount not paid when due shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law, and a late fee of shall be payable after failure to cure within days following written notice.

Term and Termination

Term: The Term of this Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated as provided herein.

Termination for Convenience: Either party may terminate this Agreement for convenience upon providing written notice to the other party at least days prior to the effective date of termination. Provider shall be entitled to payment for services performed and reimbursable expenses incurred through the effective date of termination.

Termination for Cause: Either party may terminate immediately upon written notice if the other party materially breaches any obligation under this Agreement and fails to cure such breach within days after receipt of written notice specifying the breach.

Confidentiality

Definition: "Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or that, given its nature or the circumstances of disclosure, reasonably should be understood to be confidential.

Obligations: The receiving party shall (a) use Confidential Information solely to perform its obligations under this Agreement; (b) restrict disclosure to those employees, agents or subcontractors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein; and (c) not disclose Confidential Information to any third party except as required by law (provided the receiving party provides prompt notice to permit the disclosing party to seek protective relief).

Exclusions: Confidential Information does not include information that (i) is or becomes generally available to the public through no wrongful act of the receiving party; (ii) was lawfully known to the receiving party prior to receipt; (iii) is rightfully received from a third party without restriction; or (iv) is independently developed without use of Confidential Information.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for any dispute arising under this Agreement.

Entire Agreement

Integration: This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, or representations, whether written or oral.

Amendment: No amendment or modification of this Agreement shall be binding unless in writing and executed by authorized representatives of both parties.
