Why this document matters for compliance and recordkeeping

Who typically prepares and signs this document

This form is commonly prepared by internal business teams and executed by authorized representatives of each contracting party.

  • In-house legal and contracts teams — Prepare standardized clauses and approve governing law and signature blocks.
  • Finance or procurement — Verify consideration, payment terms, and accounting codes before execution.
  • External vendors and counterparty signers — Provide legal name, tax ID, and authorized signer details for final signature.

Use role-based routing and clear signature authority to avoid invalid or incomplete execution.

Practical tips for accurate and efficient completion

Adopt standardized templates, require evidence of authority for signers, and use audit trails to simplify compliance and dispute resolution.

Standardize templates
Use a single vetted template to reduce drafting errors and accelerate review. Lock core legal clauses to prevent accidental changes by non-legal users.
Validate signers
Require printed name, title, and proof of authority for business signers. For high-risk transactions, obtain a corporate resolution or attorney opinion letter.
Use clear dates and formats
Enter dates as MM/DD/YYYY and confirm time zones for deadlines and performance metrics to avoid interpretive disputes.
Keep an auditable copy
Store the executed PDF with metadata, an audit trail of signing events, and controlled access to meet discovery and retention obligations.
