BUSINESS DOCUMENT MAA

This Business Agreement (the "Agreement") is entered into effective as of Effective Date: by and between the Service Provider and the Client identified above.

RECITALS

WHEREAS, the Service Provider possesses the resources, personnel and expertise to perform the services described in this Agreement; and

WHEREAS, the Client desires to engage the Service Provider to perform such services on the terms and conditions set forth herein; and

WHEREAS, the parties intend for this Agreement to set forth their entire agreement with respect to the subject matter hereof and to supersede all prior proposals, negotiations and understandings.

SCOPE OF WORK

The Service Provider shall provide the services, deliverables and performance obligations described below. The Service Provider shall perform in a professional manner consistent with industry standards.

PAYMENT TERMS

The Client shall compensate the Service Provider for the services rendered in accordance with the terms below.

The Service Provider will submit invoices in accordance with the Payment Schedule. Client shall pay invoices within days of receipt unless otherwise agreed in writing.

Overdue amounts shall accrue interest at per month (or the maximum rate permitted by law), plus any reasonable collection costs.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated as provided below.

CONFIDENTIALITY

Each party (the "Receiving Party") shall hold in confidence and not disclose to any third party any non-public information disclosed by the other party (the "Disclosing Party") that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). The Receiving Party shall use Confidential Information solely to perform its obligations under this Agreement and shall protect it with the same degree of care used to protect its own confidential information, but in no event less than reasonable care.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the courts located in that State for disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including all schedules and attachments hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations, representations and understandings, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.
