Practical tips to avoid common drafting and execution errors

Small drafting choices reduce disputes and administrative burden; these practices help maintain contract integrity and audit readiness.

Use consistent legal names and titles
Verify entity names against formation or tax documents; include signatory titles and attach corporate authorization if required to confirm signing authority.
Be specific about deadlines and deliverables
Avoid vague terms like 'timely' or 'reasonable'; set measurable milestones, acceptance tests, and remedies for missed deadlines.
Keep change history and initials
When amending terms, require initials and dates on changed pages and preserve prior versions to support dispute resolution or audits.
Confirm jurisdiction and dispute resolution
Select governing law and specify venue or arbitration to limit uncertainty and reduce cross-jurisdiction litigation costs.

Typical routing and approval flow for execution

Execution commonly follows a prepare-review-sign pattern; digital workflows compress time and preserve an auditable record of each step.

  • Upload: Sender uploads the final document for signing.
  • Assign: Place signature, initial, and data fields.
  • Authenticate: Signers confirm identity by chosen method.
  • Complete: Signed copies and certificate are produced.

Configuring an online signing workflow for this document

Use consistent field placement, signer order, and authentication to reduce errors and ensure a complete audit trail.

Field Configuration
Signing Order Sequential or parallel per approval needs
Authentication Email, SMS, or stronger methods
Notifications Set reminders and expiration dates
Storage Retain signed PDF with audit trail

Technical considerations for eSigning and distribution

Ensure the signing platform supports required authentication, formats, and retention to meet legal and business needs.

  • File Formats: PDF, DOCX, and HTML
  • Integrations: Salesforce, NetSuite, Google Workspace
  • Access Controls: SSO and role-based permissions

Confirm the platform can produce a tamper-evident signed PDF with an audit trail, export records for backup, and meet any industry compliance requirements.

  • Omitting required attachments (SOW, schedules, or addenda) that are referenced in the main document and essential to performance.
