RECITALS

WHEREAS, Client Name: desires to engage Contractor to perform certain business services as described herein; and

PAYMENT TERMS

In consideration for the services rendered by Contractor, Client shall pay Contractor as follows:

All amounts are exclusive of taxes. Client shall be responsible for any sales, use or similar taxes imposed on services provided hereunder, except taxes based on Contractor's net income. Contractor shall submit invoices in writing; unless otherwise disputed in good faith within the net_terms specified, invoices shall be deemed accepted.

TERM AND TERMINATION

This Agreement shall commence on the Start Date: and shall continue until the End Date: , unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon prior written notice to the other party delivered at least days in advance. Either party may terminate immediately for material breach if the breaching party fails to cure within 15 days after written notice of such breach. Termination shall not relieve Client of its obligation to pay for work performed and expenses incurred prior to the effective date of termination.

CONFIDENTIALITY

For the purposes of this Agreement, "Confidential Information" means non-public business, technical, financial, or other information disclosed by a disclosing party to the receiving party that is marked or identified as confidential or that a reasonable person would understand to be confidential. Confidential Information does not include information that: (a) is or becomes generally known to the public other than through the receiving party's breach; (b) was rightfully in the receiving party's possession prior to disclosure; (c) is lawfully obtained by the receiving party from a third party without restriction; or (d) is independently developed without use of the disclosing party's Confidential Information.

The receiving party shall (i) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information (but in no event less than reasonable care); (ii) use Confidential Information solely to perform its obligations under this Agreement; and (iii) not disclose Confidential Information to any third party except to employees, contractors, or advisers who have a need to know and are bound by confidentiality obligations no less protective than those set forth herein. The obligations in this section shall survive termination of this Agreement for a period of three (3) years.

NOTICES

Notices under this Agreement shall be in writing and delivered to the addresses below by certified mail, courier, or email with confirmation of receipt.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. Any dispute arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located within that state.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by both parties.

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties acknowledge that they are independent contractors and that no partnership, joint venture, employment, or agency relationship is created by this Agreement.
