Recitals

WHEREAS, Client desires to obtain certain business services from Service Provider as set forth in this Agreement; and

WHEREAS, Service Provider possesses the expertise and resources to perform the services described in this Agreement and is willing to provide such services to Client under the terms and conditions herein; and

WHEREAS, the parties wish to set forth the terms governing their working relationship, including scope, compensation, confidentiality and termination provisions.

Either party may terminate this Agreement for convenience upon providing days' prior written notice to the other party. Either party may terminate immediately for material breach if the breaching party fails to cure such breach within days after receipt of written notice specifying the breach.

Confidentiality

Each party (the "Receiving Party") shall keep confidential and shall not disclose to any third party any non-public, proprietary or confidential information (the "Confidential Information") disclosed by the other party (the "Disclosing Party") in connection with this Agreement. Confidential Information includes but is not limited to business plans, customer lists, financial information, pricing, product designs, and trade secrets. Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the Receiving Party; (b) was lawfully in the Receiving Party's possession prior to disclosure; (c) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information; or (d) is required to be disclosed by law or by a valid order of a court or governmental authority, provided the Receiving Party gives prompt written notice to the Disclosing Party when legally permitted and cooperates, at the Disclosing Party's expense, in any lawful effort to limit or contest such disclosure.

The Receiving Party shall use the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care. Upon termination of this Agreement or upon request by the Disclosing Party, the Receiving Party shall return or destroy all Confidential Information and certify in writing that it has complied with this obligation.

Representations; Indemnification

Each party represents and warrants that it has full corporate power and authority to enter into this Agreement. Service Provider represents that services will be performed in a professional and workmanlike manner consistent with industry standards. Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims arising from its breach of this Agreement, negligence, willful misconduct, or violation of law; indemnification obligations shall survive termination to the extent the claim relates to acts occurring during the term.

Notices

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict-of-law principles. The parties shall attempt in good faith to resolve any dispute arising under or relating to this Agreement through negotiation between senior representatives. If the dispute cannot be resolved by negotiation within thirty (30) days, the parties may pursue any remedies available at law or in equity in the state or federal courts located in the chosen governing jurisdiction.

Entire Agreement; Amendment

This Agreement, including any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, representations and communications, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

Miscellaneous

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that either party may assign to an affiliate or to a purchaser of substantially all of its assets without consent.
