Practical tips for accurate and efficient completion

Adopt standard checks and workflows to reduce errors and speed execution.

Use standardized templates
Start from a vetted template to ensure consistent clauses and reduce attorney review time. Customize only the terms that must change for the transaction.
Validate signer authority
Confirm corporate signing authority in writing (board resolution or power of attorney) to avoid later challenges to enforceability.
Keep an audit trail
Capture timestamps, IP addresses, and authentication method during signing to support attribution under ESIGN and UETA standards.
Retain final signed copy
Store the signed document in secure, access-controlled storage with backup and retention metadata for audit readiness.

Common mistakes to avoid when preparing the document

  • Using informal or partial business names that do not match formation documents, which can create ambiguity and delay contract enforcement while identity is verified.
  • Leaving vague payment or scope language such as "reasonable efforts" without objective standards, which invites disputes about performance and acceptance.
  • Failing to confirm signatory authority or corporate approvals before signing, potentially making the agreement voidable and exposing parties to ratification issues.
  • Not capturing or retaining a verifiable audit trail when using electronic signatures, which can complicate proving intent and attribution under ESIGN and UETA.

I-9 Violations: I-9 paperwork fines $281–$2,789 per violation
