Core components to include in a professional MapleStar

Scope & Deliverables

Define services, deliverables, acceptance criteria, timelines, and change-order procedures to limit scope creep and disputes over performance.

Payment & Invoicing

Detail amounts, billing frequency, net payment days, late interest, and any tax or withholding responsibilities to avoid payment and tax compliance issues.

Term & Termination

State initial term, renewal mechanics, termination for cause and convenience, and consequences for termination including final payments and return of property.

Confidentiality & IP

Specify confidential information definitions, permitted disclosures, duration of confidentiality, and ownership or assignment of intellectual property rights.

Signatures & Dates

Provide authority statements, signature blocks with printed name and title, and space for witness or notary where required to create enforceable execution evidence.

Essential data points to capture on the form

Tax Identifier: EIN or TIN
Address: Street, city, state, ZIP

Common preparation mistakes to avoid

  • Failing to verify signatory authority, which can make the agreement unenforceable against the organization.
  • Using inconsistent dates (execution date vs effective date) that create gaps in duties and timelines.
