This Business Document Marshall Agreement (the Agreement) is entered into as of Effective Date: by and between Client Name: and Marshall Name: .

Recitals

WHEREAS, Client requires professional assistance to marshal, organize, review, and deliver business documents, records, and related materials necessary for Client's corporate operations, transactions, or regulatory compliance; and

WHEREAS, Marshall has represented that Marshall has the skill, personnel, and systems necessary to perform document marshalling, indexing, secure storage, and delivery services on the terms set forth herein; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein and for other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows.

Scope of Work

Marshall shall marshal (collect, organize, index), review for completeness, provide secure temporary storage, and deliver or transfer digital or physical documents as requested by Client in accordance with the procedures described above. Specific deliverables, formats, and acceptance criteria will be set forth in Work Orders or the payment schedule below.

Payment Terms

Client shall pay Marshall the fees set out below in consideration for the services rendered. All fees are exclusive of any taxes which shall be borne by Client where required by applicable law.

Invoices not paid within the period specified above shall accrue interest at the late fee rate specified, compounded monthly, and Marshall may suspend performance if amounts due remain unpaid for more than thirty (30) days after written notice of default.

Term and Termination

Term: This Agreement shall commence on Start Date: and continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience by giving the other party written notice at least the number of days specified above. Either party may terminate immediately for material breach by the other party that is not cured within thirty (30) days of written notice, or immediately for insolvency, bankruptcy, or unlawful conduct materially affecting performance.

Confidentiality

Each party (the Receiving Party) shall hold in strict confidence all Confidential Information disclosed by the other party (the Disclosing Party) and shall not use such Confidential Information except as necessary to perform its obligations under this Agreement. Confidential Information includes nonpublic business, technical, and financial information, but does not include information that: (a) is or becomes publicly available through no breach of this Agreement; (b) was rightfully in the Receiving Party's possession prior to disclosure; (c) is rightfully received from a third party without restriction; or (d) is independently developed without use of the Disclosing Party's Confidential Information. The Receiving Party may disclose Confidential Information as required by law provided it gives prompt notice to the Disclosing Party and limits disclosure to the extent required.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction identified below without regard to conflict of law principles.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by hand, certified mail, or reputable overnight courier, and shall be effective upon receipt.

Miscellaneous

Assignment: Neither party may assign its rights or delegate its duties under this Agreement without the other party's prior written consent, except to an affiliate or successor in interest by merger or sale of substantially all assets. Amendments: Any amendment must be in writing and signed by both parties. Severability: If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.

Entire Agreement

This Agreement, together with any executed Work Orders or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, understandings, and negotiations, whether written or oral.
