Either party may terminate this Agreement without cause upon days' prior written notice to the other party. Either party may terminate for material breach if the breaching party fails to cure such breach within days after receipt of written notice specifying the breach. Termination shall not relieve either party of obligations accrued prior to termination, including payment for services performed.

Confidentiality

For purposes of this Agreement, "Confidential Information" means any non-public business, technical, financial or other information disclosed by one party to the other, whether disclosed orally, in writing or by inspection of tangible objects, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Each receiving party shall: (a) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information but in no event less than reasonable care; (b) not use Confidential Information for any purpose other than performance under this Agreement; and (c) not disclose Confidential Information to any third party except to its employees, contractors, or advisors who have a need to know and are bound by confidentiality obligations at least as protective as those herein.

Confidential Information does not include information that: (i) is or becomes generally available to the public through no act or omission of the receiving party; (ii) was known to the receiving party prior to receipt from the disclosing party; (iii) is rightfully received from a third party without restriction; or (iv) is independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information. The confidentiality obligations survive termination for a period of years, except for trade secrets which shall remain protected for as long as applicable law requires.

Representations, Warranties and Indemnity

Each party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations. Contractor warrants that services will be performed in a professional and workmanlike manner. Each party shall indemnify, defend, and hold harmless the other party from and against all third-party claims, liabilities, losses, damages, and expenses arising from the indemnifying party's breach of this Agreement, negligence, or willful misconduct.

Limitation of Liability; Insurance

Except for liability arising from a party's gross negligence, willful misconduct, or breach of its confidentiality obligations, neither party shall be liable to the other for indirect, incidental, special, punitive, or consequential damages. Contractor shall maintain industry-standard commercial insurance coverage as required for the services to be performed and shall provide evidence of such insurance upon reasonable request.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. The parties will attempt in good faith to resolve disputes through negotiation; if unresolved, disputes shall be resolved by binding arbitration conducted in accordance with generally accepted arbitration procedures, unless the parties agree otherwise in writing.

Assignment; Waiver; Severability

Neither party may assign or transfer its rights or obligations under this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger or sale of substantially all of its assets. The waiver by either party of a breach shall not constitute a waiver of any other breach. If any provision of this Agreement is held unenforceable, the remaining provisions shall continue in full force and effect.
