BUSINESS DOCUMENT MAYVILLE

This General Business Agreement (the Agreement) is made effective as of between Client Name: with principal address , and Service Provider Name: with principal address .

RECITALS

WHEREAS, Client requires certain business services related to operations, project management and advisory, and desires to engage Service Provider to perform such services on the terms set forth in this Agreement; and

WHEREAS, Service Provider represents that it has the qualifications, experience and ability to perform the services described herein and agrees to perform such services in accordance with the terms and conditions of this Agreement; and

WHEREAS, the parties intend by this Agreement to establish the terms governing the scope, payment, confidentiality and termination of the services to be provided.

SCOPE OF WORK

The Service Provider shall perform the services described above with due care, in a professional manner, and in accordance with any schedules or deliverables set forth in the Scope of Work. Any material change to the Scope of Work shall require a written change order signed by both parties.

PAYMENT TERMS

Payment is due within days from the date of invoice, unless otherwise specified in the Payment Schedule. All amounts payable under this Agreement are exclusive of taxes; the party required by law to collect taxes shall invoice such taxes in addition to the amounts stated.

Late payments shall accrue interest at a rate of % per month (or the maximum lawful rate, if lower) beginning days after the invoice due date. Client shall also be responsible for reasonable collection costs, including attorneys' fees.

TERM AND TERMINATION

This Agreement commences on the Effective Date set forth above and shall continue in effect until unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon providing written notice at least days prior to the effective termination date. Either party may terminate immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

Upon termination, Client shall pay Service Provider for all services performed and reasonable expenses incurred up to the effective date of termination. Termination shall not relieve either party of obligations accrued prior to the effective date of termination.

CONFIDENTIALITY

"Confidential Information" means all non-public, proprietary or confidential information disclosed by one party (Discloser) to the other (Recipient), whether disclosed orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information does not include information that: (a) is or becomes generally available to the public other than as a result of a disclosure by Recipient; (b) was lawfully known to Recipient before receipt from Discloser; (c) is rightfully received by Recipient from a third party without restriction on disclosure; or (d) is independently developed by Recipient without use of Discloser's Confidential Information.

Recipient shall: (i) hold Discloser's Confidential Information in strict confidence using at least the same degree of care as Recipient uses to protect its own confidential information; (ii) not disclose such Confidential Information to any third party except to employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations no less protective than those set forth herein; and (iii) use the Confidential Information only to perform under this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction of , without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts located in that jurisdiction for resolution of disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment to this Agreement must be in writing and signed by authorized representatives of both parties.

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The parties acknowledge that they have had the opportunity to seek independent legal counsel prior to executing this Agreement.
