This Business Agreement (the Agreement) is made as of the date of last signature below by and between:

Recitals

WHEREAS, Client desires to engage Contractor to perform certain services and deliverables described herein, and Contractor represents that it has the experience, personnel, and resources to perform such services; and

WHEREAS, the parties wish to set forth the terms and conditions under which Contractor will perform services for Client, including payment, confidentiality obligations, and the term of the engagement.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the parties agree as follows:

Confidentiality

Definition of Confidential Information: For purposes of this Agreement, Confidential Information means non-public information disclosed by one party to the other that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Non-Disclosure Obligations: Receiving party shall hold in strict confidence and shall not disclose, use, copy, or permit access to the disclosing party's Confidential Information except as necessary to perform obligations under this Agreement. Receiving party shall use at least the same degree of care it uses to protect its own confidential information, but in no event less than a reasonable degree of care.

Exceptions and Compelled Disclosure: Obligations under this Section do not apply to information that is (a) publicly known other than by breach of this Agreement; (b) rightfully received without restriction from a third party; (c) independently developed; or (d) required to be disclosed by law, provided the receiving party gives prior written notice to the disclosing party where lawful and reasonable.

Duration of Confidentiality: Confidentiality obligations shall continue for years from the date of disclosure, except for trade secrets which shall be protected for as long as they qualify as trade secrets under applicable law.

Representations and Warranties

Each party represents and warrants that it has the full right, power, and authority to enter into and perform this Agreement and that performance will not violate any agreement with a third party. Contractor warrants that services will be performed in a professional and workmanlike manner in accordance with industry standards.

Limitation of Liability

Except for breaches of confidentiality or willful misconduct, neither party shall be liable to the other for consequential, incidental, special, or punitive damages. Each party's aggregate liability for claims arising out of or relating to this Agreement shall not exceed the total fees paid by Client to Contractor under this Agreement during the prior twelve (12) month period.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles. The parties submit to the exclusive jurisdiction of the courts located in that State for resolution of disputes.

Entire Agreement

This Agreement, including any exhibits or attachments signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior proposals, negotiations, representations, and agreements, whether written or oral. Any amendment must be in writing and signed by both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as either party may designate by notice in accordance with this section.

Miscellaneous

Assignment: Neither party may assign or transfer its rights or obligations under this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger, acquisition, or sale of substantially all of its assets.

Independent Contractor: Contractor is an independent contractor and nothing in this Agreement shall create an employment, partnership, agency, or joint venture relationship between the parties.
