Common Preparation Pitfalls to Avoid

  • Mixing template clauses without updating party names, dates, or exhibit references leading to contradictory obligations and enforceability challenges during disputes.
  • Using informal initials or unsigned amendments rather than formal executed amendments can leave scope changes unenforceable and cause payment withholding.
  • Failing to verify authorized signer authority before execution may invalidate the agreement or require costly ratification by boards or legal counsel.
  • Relying solely on basic email authentication for high-value contracts increases risk; stronger identity proofing or notarization is often required for critical transactions.
