WHEREAS

WHEREAS, Client operates a business engaged in the activities described as , and desires to retain Provider to perform certain services under the terms set forth in this Agreement.

WHEREAS, Provider represents that it has the experience, personnel and capabilities to perform the services described herein and agrees to perform such services in accordance with the terms of this Agreement.

NOW, THEREFORE, in consideration of the mutual promises contained herein, the Parties agree as follows:

Scope of Work

Provider shall perform the services described above in a professional and workmanlike manner consistent with industry standards and shall allocate sufficient qualified personnel to perform the services. Any change to the Scope of Work shall be captured in a written change order signed by authorized representatives of both Parties.

Payment Terms

Invoices shall be submitted to the Client in accordance with the Payment Schedule. Payment is due within days of receipt of each undisputed invoice. Amounts not paid when due shall accrue interest at a rate of % per month (or the maximum permitted by applicable law, if lower), calculated monthly from the date due until paid. Client shall not withhold payment for any services performed in accordance with this Agreement except for good faith disputes.

Term and Termination

This Agreement shall commence on the Effective Date set forth below and shall continue until the End Date, unless earlier terminated as provided herein.

Either Party may terminate this Agreement for convenience upon written notice to the other Party at least days prior to the effective termination date. Either Party may terminate for material breach by the other Party if such breach remains uncured thirty (30) days after receipt of written notice specifying the breach, or immediately for incurable or fraudulent breaches.

Confidentiality

"Confidential Information" means non-public information disclosed by one Party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Each Party shall: (a) hold Confidential Information in strict confidence; (b) use Confidential Information solely to perform its obligations hereunder; and (c) not disclose Confidential Information to any third party except to its employees, contractors or advisors who have a need to know and are bound by confidentiality obligations at least as protective as those in this Agreement.

The obligations in this clause shall survive termination of this Agreement for a period of years, except with respect to trade secrets which shall be protected for as long as they remain trade secrets under applicable law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of , without regard to its conflicts of law principles. The Parties submit to the exclusive jurisdiction of the courts of that jurisdiction for disputes arising out of or relating to this Agreement, subject to any mandatory forum rules.

Entire Agreement and Miscellaneous

This Agreement, including all exhibits and written change orders signed by authorized representatives of the Parties, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. No amendment or waiver shall be effective unless in a writing signed by both Parties.

Neither Party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including acts of God, pandemics, labor disturbances, governmental actions, or failures of suppliers. All remedies available under this Agreement are cumulative and not exclusive.
