BUSINESS DOCUMENT MONICA

This General Business Agreement (the Agreement) is entered into as of the Effective Date: by and between Client Name: and Service Provider Name: .

WHEREAS, Service Provider represents that it has the qualifications, experience and ability to perform the services on the terms set forth in this Agreement.

SCOPE OF WORK

PAYMENT TERMS

Client shall pay Service Provider the Fees as set forth below. All payments are due in United States Dollars unless otherwise agreed in writing.

Any undisputed amount not paid when due shall accrue a late fee equal to per month (or the maximum lawful rate if less). In addition, Client shall be responsible for any reasonable collection costs and attorneys' fees incurred by Service Provider to recover past due amounts.

TERM AND TERMINATION

This Agreement shall commence on the Start Date: and shall continue until the End Date: , unless earlier terminated as provided below.

Either party may terminate this Agreement for cause if the other party materially breaches any obligation under this Agreement and fails to cure such breach within the notice period specified above. Termination shall not relieve Client of the obligation to pay for Services performed and expenses incurred prior to the effective date of termination.

CONFIDENTIALITY

"Confidential Information" means all non-public information disclosed by a party (Disclosing Party) to the other party (Receiving Party) that is designated as confidential or that reasonably should be understood to be confidential. Receiving Party shall: (a) use Confidential Information solely to perform its obligations under this Agreement; (b) not disclose Confidential Information to any third party except to those employees or contractors who need access in connection with performance and who are bound by confidentiality obligations at least as protective as those herein; and (c) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care.

Confidentiality obligations shall not apply to information that: (i) is or becomes public through no fault of Receiving Party; (ii) was rightfully in Receiving Party's possession prior to disclosure; (iii) is rightfully obtained from a third party without restriction; or (iv) is independently developed without use of the Disclosing Party's Confidential Information. Upon termination of this Agreement, Receiving Party shall return or destroy Confidential Information as requested by Disclosing Party.

Acknowledgment of Confidentiality: I acknowledge and agree to the confidentiality terms above.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. Any dispute arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in the selected state.

ENTIRE AGREEMENT

This Agreement, together with any attachments or exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. No amendment, modification or waiver of any provision of this Agreement shall be effective unless in a writing signed by authorized representatives of both parties.

MISCELLANEOUS

Assignment: Neither party may assign or transfer its rights or obligations under this Agreement without the prior written consent of the other party, except that Service Provider may assign to an affiliated entity or in connection with a sale of substantially all of its assets.

Notices: All notices required or permitted under this Agreement shall be in writing and delivered to the contact information provided below. Notices shall be effective upon receipt.
