BUSINESS DOCUMENT MORRISON

This Business Agreement (the "Agreement") is made and entered into as of (the "Effective Date"), by and between:

RECITALS

Late payments shall incur a late fee equal to the greater of a fixed fee or a percentage of the overdue amount, as set forth below.

TERM AND TERMINATION

This Agreement shall commence on and, unless earlier terminated in accordance with this Agreement, shall continue until .

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within the notice period specified above following receipt of written notice. Termination shall be without prejudice to any accrued rights or liabilities of either party.

CONFIDENTIALITY

For the purposes of this Agreement, "Confidential Information" means all non-public business, technical, and financial information disclosed by either party to the other, whether disclosed orally, in writing, or electronically. Each party agrees to: (a) use Confidential Information solely for the performance of this Agreement; (b) restrict disclosure of Confidential Information to employees, contractors, or agents who have a need to know and who are bound by confidentiality obligations at least as protective as those contained herein; and (c) take reasonable measures to protect Confidential Information from unauthorized use or disclosure. Confidential Information does not include information that is or becomes publicly available through no breach of this Agreement, that is rightfully received from a third party without restriction, or that is independently developed without use of the other party's Confidential Information.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of , without regard to conflict of laws principles. The parties consent to the exclusive jurisdiction of the courts located in that jurisdiction for any dispute arising out of or relating to this Agreement.

ENTIRE AGREEMENT

This Agreement, including any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous oral or written agreements, representations, and understandings. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Neither party may assign this Agreement without the prior written consent of the other party, except that either party may assign this Agreement in connection with a merger, acquisition, or sale of substantially all of its assets. Notices required under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party designates in writing.
