BUSINESS DOCUMENT MOVE AGREEMENT

This Business Document Move Agreement (the Agreement) is made and entered into as of by and between:

RECITALS

WHEREAS, Client maintains business records, files and other documentary material in physical or electronic format that require relocation, secure handling, and chain-of-custody control (the Documents); and

WHEREAS, Service Provider is engaged in the business of transporting, handling, storing, and delivering business records and has represented that it possesses the personnel, equipment, insurance, and procedures required to undertake a secure move of the Documents; and

WHEREAS, Client desires to engage Service Provider, and Service Provider agrees to perform, the services described in this Agreement under the terms and conditions set forth herein.

SCOPE OF WORK

Service Provider shall provide all labor, materials, transportation, packaging, inventorying, chain-of-custody documentation, and other services necessary to pick up, transport, and deliver the Documents between the locations specified by Client. The specific services to be provided are set forth below and shall include any ancillary tasks reasonably required to complete the move in a secure and commercially reasonable manner.

PAYMENT TERMS

Client shall pay Service Provider the fees for services rendered as follows.

Late Payment Fee:

All amounts are payable in lawful currency and payable within the timeframes set forth above. Client shall reimburse reasonable documented expenses incurred by Service Provider in connection with the move provided such expenses are pre-approved in writing by Client.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate immediately for material breach by the other party that remains uncured after ten (10) days' written notice of such breach.

CONFIDENTIALITY

Service Provider acknowledges that Documents and related information may constitute confidential and proprietary information of Client. Service Provider shall (i) maintain such information in strict confidence, (ii) use the information solely to perform the services under this Agreement, and (iii) restrict access to such information to service personnel who have a legitimate need to know and who are bound by confidentiality obligations at least as protective as those set forth herein. The obligations of confidentiality shall survive termination or expiration of this Agreement for a period of three (3) years, except that trade secrets shall remain protected for as long as they qualify as trade secrets under applicable law.

CHAIN OF CUSTODY; SECURITY; INSURANCE

Service Provider shall maintain chain-of-custody logs for all Documents handled under this Agreement and shall provide copies of such logs to Client upon request. Service Provider shall implement and maintain physical security, handling procedures, and personnel screening consistent with industry standards for records transport.

LIMITATION OF LIABILITY; INDEMNIFICATION

Except for liability arising from Service Provider's gross negligence or willful misconduct, in no event shall Service Provider be liable for incidental, consequential, punitive, or special damages. Client shall indemnify, defend and hold Service Provider harmless from and against any liabilities, losses, costs and expenses (including reasonable attorneys' fees) arising out of Client's negligent or willful acts, or inaccurate or incomplete documentation of the Documents.

COMPLIANCE WITH LAWS

Each party shall comply with all applicable laws, regulations and orders relating to its performance under this Agreement, including privacy, data protection, and records retention laws to the extent they apply to the Documents and the services provided.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including the Schedules and Exhibits attached hereto if any, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written. Any amendment or modification of this Agreement must be in writing and executed by both parties.

MISCELLANEOUS

Notices required by this Agreement shall be in writing and delivered to the addresses set forth above by certified mail, overnight courier, or personal delivery. If any provision of this Agreement is held invalid or unenforceable, the remainder shall remain in full force and effect.
