WHEREAS

WHEREAS, Client wishes to engage Contractor to perform certain business services as described in this Agreement, and Contractor represents that it has the necessary expertise, personnel and resources to perform such services in a professional manner; and

WHEREAS, the parties desire to define their respective rights and obligations with respect to the services to be provided and the consideration to be paid; and

SCOPE OF WORK

PAYMENT TERMS

As consideration for the services rendered, Client shall pay Contractor the fees and expenses set forth below. All payments shall be made in lawful currency of the United States unless otherwise agreed in writing.

Invoices shall be submitted by Contractor to Client in accordance with the payment schedule. Client shall pay undisputed invoices within days of receipt.

Late payments shall bear interest at the lesser of (a) % per month or (b) the maximum rate permitted by applicable law, and Client shall be responsible for any reasonable collection costs.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party at least days prior to the effective date of termination. Either party may terminate immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Each party (Recipient) shall keep confidential and not disclose to any third party any confidential or proprietary information of the other party (Discloser) that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Recipient shall use Confidential Information solely for performance of its obligations under this Agreement and shall take reasonable measures to protect such Confidential Information, but in no event less than the measures it uses to protect its own confidential information of similar importance.

Confidential Information does not include information that (a) is or becomes publicly available without breach of this Agreement, (b) was in Recipient's lawful possession prior to receipt from Discloser, (c) is received from a third party without breach of any obligation of confidentiality, or (d) is independently developed by Recipient without use of Discloser's Confidential Information. Recipient may disclose Confidential Information to the extent required by law or legal process, provided Recipient gives Discloser prompt written notice and cooperates with Discloser in any lawful effort to limit disclosure.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

LIMITATION OF LIABILITY

Except for liability arising from gross negligence, willful misconduct, or breach of confidentiality, neither party shall be liable to the other for incidental, consequential, special or punitive damages, and aggregate liability under this Agreement shall not exceed the total fees paid or payable by Client to Contractor under this Agreement.

ENTIRE AGREEMENT; AMENDMENT

This Agreement (including any schedules or attachments expressly incorporated herein) constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. No amendment or waiver of any provision of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by hand, certified mail, or overnight courier, and shall be effective upon receipt.

MISCELLANEOUS

Neither party may assign this Agreement or any rights hereunder without the prior written consent of the other party, except that either party may assign this Agreement in connection with a merger, acquisition or sale of substantially all of its assets provided that the assignee assumes all obligations hereunder.

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be reformed only to the extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.
