RECITALS

This General Business Agreement (the Agreement) is entered into effective as of between (Party A), and (Party B).

WHEREAS, Party A has expertise in the provision of business services described herein; and

WHEREAS, Party B desires to engage Party A to perform such services on the terms and conditions set forth below.

SCOPE OF WORK

Party A shall perform the services and deliverables described below in a professional manner consistent with industry standards. Deliverables, timelines, and acceptance criteria shall be as set forth in the description.

PAYMENT TERMS

In consideration for the Services, Party B shall pay Party A the amounts and according to the schedule set forth below. All payments shall be made in lawful money of the United States unless otherwise agreed in writing.

All invoices are due in accordance with the Payment Schedule. If an invoice remains unpaid beyond the due date, interest and the Late Payment Fee specified above shall accrue and may be collected in addition to any costs of collection, including reasonable attorneys' fees.

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the Notice Period set forth above following receipt of written notice specifying the breach. Termination shall not relieve either party of obligations accrued prior to termination.

CONFIDENTIALITY

Each party (Receiving Party) shall hold in confidence and shall not disclose or use any Confidential Information of the other party (Disclosing Party) except as necessary to perform its obligations under this Agreement. Confidential Information includes non-public business, technical, financial, and other materials designated as confidential or that reasonably should be understood to be confidential.

The obligations in this Confidentiality section do not apply to information that: (a) is or becomes publicly known through no breach of this Agreement; (b) is received from a third party without breach of any obligation of confidentiality; (c) was already known to the Receiving Party prior to disclosure; or (d) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to principles of conflict of laws. Any dispute arising out of or relating to this Agreement shall be resolved in the courts located within that state, and the parties consent to personal jurisdiction and venue therein.

ENTIRE AGREEMENT

This Agreement, including any exhibits and schedules expressly incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, statements, and understandings, whether written or oral. No amendment or modification shall be binding unless in writing and signed by both parties.

MISCELLANEOUS

Neither party may assign this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger or sale of substantially all of its assets. The rights and remedies provided herein are cumulative and not exclusive of any rights or remedies provided by law.

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect and the invalid or unenforceable provision shall be replaced with a valid provision that most closely reflects the parties' intent.
