Recitals

WHEREAS, Client seeks to retain Service Provider to perform business services described herein and Service Provider has represented that it possesses the skill, experience and capability to provide such services; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the performance, compensation and confidentiality of work to be performed under this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows.

Scope of Work

Service Provider shall perform the services described below in a professional and workmanlike manner in accordance with industry standards. Detailed description of the deliverables, milestones and specific tasks shall be as follows:

Payment Terms

Compensation for the services rendered under this Agreement shall be as set forth below. All fees are exclusive of taxes unless otherwise stated. Client shall pay Service Provider in accordance with the schedule and conditions specified.

Term and Termination

This Agreement shall commence on the Start Date and shall continue until the End Date unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for cause if the other party materially breaches any provision and fails to cure such breach within the notice period provided above. Termination shall not relieve either party of obligations accrued prior to termination.

Confidentiality

"Confidential Information" means any non-public information disclosed by one party to the other that is identified as confidential or that, by its nature, should reasonably be considered confidential. Each receiving party shall: (i) hold Confidential Information in strict confidence; (ii) not use Confidential Information except to perform its obligations under this Agreement; and (iii) not disclose Confidential Information to third parties except to its employees, contractors and advisors who have a need to know and who are bound by confidentiality obligations no less protective than those herein.

Confidential Information does not include information that: (a) is or becomes publicly available without breach of this Agreement; (b) is rightfully received from a third party without confidentiality obligations; (c) is independently developed without use of Confidential Information; or (d) is required to be disclosed by law, provided the disclosing party gives prompt notice and cooperates to the extent reasonable in any protective order or other remedy.

The obligations of confidentiality shall survive termination or expiration of this Agreement for a period of three (3) years, except for trade secrets which shall remain protected for as long as they qualify as trade secrets under applicable law.

Representations, Indemnification and Insurance

Each party represents that it has the corporate or other power and authority to enter into this Agreement and to perform its obligations hereunder. Service Provider shall indemnify and hold harmless Client from and against claims, liabilities, damages and expenses arising from Service Provider's negligent acts or omissions or material breach of this Agreement. Service Provider shall maintain insurance appropriate to the services performed, including commercial general liability and professional liability where applicable.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties shall attempt in good faith to resolve disputes through negotiation; if unresolved within 30 days, disputes shall be resolved by binding arbitration administered in the county of the governing state unless the parties agree otherwise in writing.

Entire Agreement; Amendments

This Agreement (including all exhibits and attachments, if any) constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

Notices

Notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above by hand, certified mail (return receipt requested) or nationally recognized courier service, and shall be effective upon receipt.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign its rights or obligations without the prior written consent of the other, except that a party may assign to a successor in interest in connection with a merger or sale of substantially all assets.
