Recitals

WHEREAS, Client engages Contractor to perform business services described herein, and Contractor has represented that Contractor possesses the expertise, personnel, and resources necessary to perform such services; and

WHEREAS, the parties desire to set forth the terms and conditions under which Contractor will provide services to Client, including payment, confidentiality, and termination provisions.

NOW, THEREFORE, in consideration of the mutual covenants contained in this Agreement, the parties agree as follows:

Payment Terms

Client shall pay Contractor for the services in accordance with the following terms. All amounts are stated in U.S. dollars unless otherwise agreed in writing.

Late payments shall accrue interest at the lesser of (a) % per month, compounded monthly, or (b) the maximum rate permitted by applicable law. Client shall also reimburse Contractor for reasonable collection costs and attorneys' fees incurred in enforcing payment.

Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: , unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to the intended termination date. Either party may terminate for cause if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days following receipt of written notice specifying the breach.

Upon termination, Contractor shall deliver all completed work and any work in progress. Client shall pay Contractor for all services performed and expenses incurred through the effective date of termination, subject to any applicable offsets for breaches.

Confidentiality

Each party (the "Recipient") will hold in strict confidence all non-public, confidential, or proprietary information received from the other party (the "Discloser") in connection with this Agreement ("Confidential Information"). Confidential Information does not include information that: (a) is or becomes publicly available without breach of this Agreement; (b) was lawfully in Recipient's possession prior to disclosure; (c) is rightfully received from a third party without breach of any obligation of confidentiality; or (d) is independently developed by Recipient without use of or reference to Discloser's Confidential Information.

Recipient shall not use Confidential Information for any purpose other than to perform its obligations or exercise its rights under this Agreement. Recipient shall restrict disclosure of Confidential Information to employees, contractors, or advisors with a need to know and who are bound by confidentiality obligations at least as protective as those set forth herein. Recipient shall use at least reasonable care to protect Confidential Information.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. Any dispute arising out of or relating to this Agreement shall be resolved by the state or federal courts located in that state.

Indemnification and Warranty

Contractor warrants that services will be performed in a professional manner consistent with prevailing industry standards. Except as expressly set forth in this Agreement, Contractor disclaims all other warranties, express or implied.

Each party agrees to indemnify, defend, and hold harmless the other party from and against any third-party claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from that party's breach of this Agreement, negligence, or willful misconduct.

Entire Agreement

This Agreement, including any exhibits or attachments incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, or understandings, whether oral or written. Any modification or waiver must be in writing and signed by both parties.

All notices hereunder shall be in writing and delivered to the addresses set forth below, by hand, certified mail (return receipt requested), or overnight courier, and shall be deemed given upon receipt.
