Either party may terminate this Agreement for material breach by the other party if such breach is not cured within the notice period specified above. Termination shall not relieve either party of obligations that accrued prior to termination, including payment obligations.

Confidentiality

Each party (the Receiving Party) shall maintain in confidence all non-public, proprietary, or confidential information disclosed by the other party (the Disclosing Party) in connection with this Agreement. Confidential information excludes information that: (a) is or becomes publicly available without breach; (b) is rightfully received from a third party without restriction; (c) is independently developed by the Receiving Party without use of the Disclosing Party’s Confidential Information; or (d) is required to be disclosed by applicable law, provided notice is given when permitted.

Indemnification

Each party shall indemnify, defend, and hold harmless the other party from and against any claims, liabilities, losses, damages, and expenses (including reasonable attorneys' fees) arising out of the indemnifying party’s breach of this Agreement, negligence, willful misconduct, or violation of law, except to the extent such claims arise from the indemnitee’s gross negligence or willful misconduct.

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by hand, certified mail, or nationally recognized overnight courier, and shall be effective upon receipt.

Governing Law; Venue

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the courts located therein for resolution of disputes.

Entire Agreement; Amendment

Severability; Waiver
