GENERAL BUSINESS AGREEMENT (NC)

This General Business Agreement (the "Agreement") is entered into as of , (the "Effective Date"), by and between:

RECITALS

WHEREAS, Client seeks to obtain certain professional services and deliverables as further described herein; and

WHEREAS, Service Provider represents that it possesses the skill, experience, and personnel necessary to perform the services described in this Agreement and is willing to provide such services to Client on the terms set forth below; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows.

SCOPE OF WORK

Service Provider shall perform the tasks, deliverables and related services described below. The parties may amend the scope only by a written, signed change order.

PAYMENT TERMS

Client shall pay Service Provider the fees and reimbursements as set forth below. All amounts payable hereunder shall be in United States dollars.

If any amount due under this Agreement is not paid within the agreed payment terms, Service Provider may suspend performance after providing ten (10) days' written notice to Client and may recover all reasonable costs of collection, including attorneys' fees.

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for cause upon material breach by the other party if such breach remains uncured thirty (30) days after written notice specifying the breach. Termination shall not relieve either party of obligations accrued prior to termination.

CONFIDENTIALITY

"Confidential Information" means any non-public, proprietary or confidential information disclosed by one party to the other in connection with this Agreement, whether disclosed orally, visually, or in writing. Confidential Information expressly includes pricing, business plans, technical data, and customer information.

Each receiving party shall (a) hold Confidential Information in strict confidence, (b) not disclose Confidential Information to any third party except as permitted herein, and (c) use Confidential Information solely to perform its obligations under this Agreement. Receiving party may disclose Confidential Information to employees, contractors, and advisors with a need to know provided such persons are bound by confidentiality obligations no less protective than those contained herein.

Confidential Information shall not include information that: (i) is or becomes generally known to the public without breach of an obligation owed to the disclosing party; (ii) was known to the receiving party prior to disclosure; (iii) is received from a third party free to disclose such information; or (iv) is independently developed by the receiving party without use of Confidential Information. Upon termination of this Agreement or upon request, the receiving party shall return or certify destruction of Confidential Information.

GOVERNING LAW; VENUE

This Agreement shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in the State of North Carolina for resolution of disputes arising out of this Agreement.

MISCELLANEOUS PROVISIONS

Entire Agreement. This Agreement, including all Schedules and attachments, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.

Assignment. Neither party may assign this Agreement or any of its rights or obligations hereunder without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger, acquisition or sale of substantially all of its assets.

Notices. All notices shall be in writing and delivered to the addresses set forth above or such other address as a party may designate in writing. Notices are effective upon personal delivery, confirmed delivery by courier, or three (3) days after deposit in the U.S. mail, postage prepaid, certified mail, return receipt requested.

LIMITATION OF LIABILITY

Except for liability arising from willful misconduct or gross negligence, in no event shall either party's aggregate liability under or related to this Agreement exceed the amounts paid or payable by Client to Service Provider under this Agreement in the twelve (12) months preceding the claim.

SURVIVAL

The provisions of this Agreement which by their nature should survive termination shall survive, including but not limited to payment obligations, confidentiality, limitation of liability, and governing law.
