Business Document Nelson

This General Business Agreement (the Agreement) is entered into as of Effective Date: by and between Client Name: (referred to herein as "Client") and Service Provider Name: (referred to herein as "Provider"). The Client and Provider may be referenced individually as a Party or collectively as the Parties.

Recitals

WHEREAS, Provider is engaged in the business of providing professional services and has represented that it has the skill and capacity to perform the services described below; and

WHEREAS, Client desires to engage Provider to perform the services on the terms and conditions set forth in this Agreement; and

WHEREAS, the Parties intend that this Agreement set forth the entire understanding with respect to the subject matter hereof.

Scope of Work

Provider shall perform the services described below in a professional and workmanlike manner in accordance with applicable industry standards. Any material changes to the Scope of Work shall be made in writing and signed by both Parties.

Payment Terms

In consideration for the performance of the Scope of Work, Client shall pay Provider the fees and expenses set forth below. All amounts are payable in United States dollars unless otherwise indicated.

Payments not received within the agreed payment period shall bear interest at the rate specified in the Late Payment Fee above and Provider may suspend performance until overdue amounts are paid in full. Client shall also reimburse Provider for any reasonable collection costs incurred.

Term and Termination

This Agreement shall commence on Start Date: and shall continue in effect until End Date: unless earlier terminated as provided herein.

Either Party may terminate this Agreement for convenience upon written notice delivered to the other Party at least days prior to the intended termination date. Either Party may terminate this Agreement for cause if the other Party materially breaches any term of this Agreement and fails to cure such breach within days after receipt of written notice specifying the breach.

Upon termination, Client shall pay Provider for all services performed and expenses incurred through the effective date of termination, together with any non-cancellable commitments.

Confidentiality

Each Party (the Receiving Party) shall treat as confidential and shall not disclose or use any non-public information disclosed by the other Party (the Disclosing Party) that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"), except as necessary to perform obligations under this Agreement or as required by law.

Confidential Information does not include information that: (a) is publicly available other than by a breach of this Agreement; (b) is rightfully received by the Receiving Party without restriction from a third party; or (c) is independently developed without use of the Disclosing Party's Confidential Information. The obligations in this section shall survive termination for a period of years.

Representations, Warranties and Indemnification

Each Party represents and warrants that it has full power and authority to enter into this Agreement. Provider warrants that services will be provided in a professional manner consistent with industry standards. Except for the express warranties stated herein, PROVIDER MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED.

Each Party shall indemnify, defend and hold harmless the other Party from and against claims, liabilities, losses and expenses (including reasonable attorneys' fees) arising out of its breach of this Agreement or its gross negligence or willful misconduct.

Notices

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The Parties shall attempt in good faith to resolve any dispute arising out of or relating to this Agreement through negotiation. If the Parties are unable to resolve the dispute within 30 days, either Party may pursue any remedy available at law or in equity.

Entire Agreement

This Agreement, together with all exhibits and attachments, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, negotiations and understandings, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by both Parties.
