Core Components to Include in the Template

Essential parts include parties, effective date, scope, consideration, termination terms, and signature blocks with placeholders for initials and dates and exhibits.

Parties

List full legal names and entity types for each contracting party. Include DBA names if used and provide contact details for notices to avoid ambiguity in enforcement and tax reporting.

Effective Date

Specify the effective date using MM/DD/YYYY format. If performance depends on delivery or approval, note whether the date is execution-based or contingent on a specified event and identify timezone for deadlines.

Scope

Define deliverables, services, or products precisely, including measurable acceptance criteria, milestones, and owner responsibilities to reduce disputes and ensure objective performance evaluation and acceptance testing.

Consideration

State monetary amounts, payment schedule, invoicing requirements, and remedies for late payment. Avoid vague language like 'reasonable compensation' and specify late fees when applicable.

Termination

Include termination for convenience and cause, notice requirements, cure periods, and post-termination obligations such as return of confidential information, final accounting, and transition assistance obligations.
