This General Business Agreement ("Agreement") is entered into as of Effective Date: by and between Client Name: and Contractor Name: .

RECITALS

WHEREAS, Client engages in the business described in its corporate formation documents and desires to retain Contractor to perform certain services described herein; and

WHEREAS, Contractor represents that it has the skill, experience and capacity to perform the services described in this Agreement on the terms and conditions set forth below.

WHEREAS, the parties desire to set forth their mutual rights and obligations in writing.

SCOPE OF WORK

PAYMENT TERMS

Client shall pay Contractor the fees ("Fees") for the services described above in accordance with the schedule below. All amounts are payable in lawful currency of the United States unless otherwise agreed in writing.

Late payment shall incur interest at the lesser of (a) or (b) the maximum rate permitted by applicable law. Client shall also be responsible for reasonable collection costs, including attorney fees, resulting from delinquent payments.

TERM AND TERMINATION

The term of this Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within days after receipt of written notice. Either party may terminate for convenience upon providing days' prior written notice to the other party. Termination shall not relieve Client of its obligation to pay for services performed and expenses incurred prior to the effective date of termination.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by one party ("Disclosing Party") to the other ("Receiving Party") that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information. Receiving Party shall: (a) use Confidential Information solely to perform its obligations under this Agreement; (b) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care; and (c) not disclose Confidential Information to any third party except to employees, contractors or affiliates who need to know and who are bound by confidentiality obligations no less protective than those set forth herein.

Confidential Information does not include information that: (i) is or becomes generally available to the public through no fault of the Receiving Party; (ii) was rightfully in the Receiving Party's possession prior to disclosure; (iii) is received from a third party without breach of any obligation of confidentiality; or (iv) is independently developed by the Receiving Party without use of Confidential Information. The obligations in this Section shall survive termination of this Agreement for a period of years.

INDEPENDENT CONTRACTOR

Contractor shall perform services as an independent contractor and not as an employee, agent or partner of Client. Contractor is responsible for all taxes and obligations arising from payments made hereunder and shall not be eligible for Client employee benefits.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for any dispute arising out of this Agreement.

LIMITATION OF LIABILITY

Except for breaches of confidentiality, willful misconduct or gross negligence, neither party shall be liable to the other for indirect, incidental, consequential, special or punitive damages arising out of or relating to this Agreement. Each party's aggregate liability for claims arising out of this Agreement shall not exceed the total Fees paid or payable under this Agreement during the twelve (12) months preceding the event giving rise to the claim.

ENTIRE AGREEMENT

This Agreement, including any attachments or exhibits executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations and understandings, whether oral or written. No amendment or modification shall be effective unless in writing and signed by both parties.

NOTICES

Notices under this Agreement must be in writing and shall be deemed given when delivered personally, by certified mail, or by recognized overnight courier to the addresses set forth above or such other address as a party may designate by notice in accordance with this Section.
