This General Business Agreement (the Agreement) is entered into as of Effective Date:

Recitals

WHEREAS, Client desires to retain Provider to perform certain professional services as set forth herein and Provider represents that it has the expertise, personnel and capability to perform such services on the terms and conditions contained in this Agreement.

WHEREAS, Provider agrees to perform the services described in this Agreement in accordance with the Scope of Work, subject to the payment terms and other obligations contained herein.

WHEREAS, the parties wish to set forth their entire agreement regarding the subject matter hereof and the terms by which Provider will render services and Client will compensate Provider.

Scope of Work

Provider shall perform the services described below and in any attachments executed by the parties. All work shall be performed in a professional and workmanlike manner consistent with industry standards.

Payment Terms

Total Compensation: $ payable in accordance with the schedule below.

Late Payment: Any amount not paid within days of invoice due date shall accrue interest at % per month, compounded monthly, or the maximum lawful rate if less. In addition, Provider may suspend performance if invoices remain unpaid after days following written notice of nonpayment.

Term and Termination

Term: This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate immediately for cause upon written notice if the other party materially breaches this Agreement and fails to cure such breach within days after receipt of written notice describing the breach.

Upon termination, Client shall pay Provider for all work performed and approved expenses incurred through the effective date of termination, together with any non-cancelable commitments made by Provider in connection with performance of the services.

Confidentiality

Each party (Receiving Party) shall keep confidential and shall not disclose to any third party any proprietary or confidential information received from the other party (Disclosing Party) that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential information excludes information that is (i) publicly known through no breach of this Agreement; (ii) rightfully received from a third party without restriction; (iii) independently developed by the Receiving Party without use of the Disclosing Party's confidential information; or (iv) required to be disclosed by law, provided the Receiving Party gives prompt notice and cooperates to limit the scope of disclosure.

Confidentiality Period: Parties' obligations under this section shall survive termination of this Agreement for a period of years, except with respect to trade secrets which shall be kept confidential for so long as they remain trade secrets.

Notices

All notices, requests, consents and other communications hereunder shall be in writing and delivered to the addresses below or to such other address as either party may designate by notice in accordance with this section.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. Any disputes arising under this Agreement shall be resolved in the courts located within that jurisdiction, subject to the parties' right to seek temporary injunctive relief in any competent court.

Indemnification

Each party shall indemnify, defend and hold harmless the other party and its officers, directors, employees and agents from and against any and all third-party claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's breach of this Agreement, negligence, willful misconduct or violation of law.

Assignment

Neither party may assign or transfer this Agreement or any rights or obligations hereunder without the prior written consent of the other party, except that Provider may assign this Agreement in whole or in part to an affiliate or in connection with the sale of substantially all of its assets or equity without Client's consent, provided that no such assignment relieves Provider of its obligations under this Agreement.

Entire Agreement

This Agreement, together with any attachments and executed statements of work, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, understandings and communications, whether written or oral. No modification of this Agreement shall be effective unless in writing and signed by both parties.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The headings in this Agreement are for convenience only and shall not affect interpretation. The parties acknowledge that they have had the opportunity to seek independent legal counsel prior to execution.
