RECITALS

WHEREAS, Client engages Service Provider to perform business services described in this Agreement and the parties desire to set forth their respective rights and obligations as of the effective date stated above; and

TERM AND TERMINATION

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least prior to the effective date of termination. Either party may terminate for material breach if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

CONFIDENTIALITY

"Confidential Information" means any non-public business, technical or financial information disclosed by one party to the other, whether disclosed orally, in writing, or by inspection of tangible objects. Each party shall (a) hold Confidential Information in strict confidence, (b) not disclose Confidential Information to any third party except as expressly permitted in this Agreement, and (c) use Confidential Information solely to perform its obligations or exercise its rights under this Agreement.

The obligations in this Section shall not apply to information that: (i) is or becomes generally available to the public through no fault of the receiving party; (ii) was in the receiving party's possession prior to receipt from the disclosing party as evidenced by written records; (iii) is rightfully received by the receiving party from a third party without restriction; or (iv) is independently developed by the receiving party without reference to the disclosing party's Confidential Information. The confidentiality obligations shall continue for years following termination or expiration of this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to principles of conflict of laws. Exclusive jurisdiction and venue for any dispute arising under this Agreement shall be in the state or federal courts located in that State.

ENTIRE AGREEMENT
