BUSINESS DOCUMENT ODYSSEY DOCUMENT

This Business Document Odyssey Document (the "Agreement") is entered into as of by and between:

WHEREAS

WHEREAS, Client seeks certain professional services and deliverables described herein, and Provider represents that it possesses the experience, skill and personnel necessary to perform such services on the terms set forth in this Agreement; and

WHEREAS, the parties desire to set forth the terms under which Provider will perform services for Client, including scope, compensation, confidentiality and termination provisions, all of which are set forth below.

SCOPE OF WORK

Provider shall perform the services, prepare the deliverables, and complete the milestones described in this Scope of Work. All services shall be performed in a professional and workmanlike manner consistent with industry standards.

PAYMENT TERMS

In consideration for the performance of the Scope of Work, Client shall pay Provider in accordance with the terms below. All payments are due in United States currency unless otherwise agreed in writing.

Provider shall issue invoices in accordance with the Payment Schedule. Client shall pay undisputed amounts by the invoice due date. Disputed portions must be notified in writing with supporting detail; undisputed portions remain payable when due. Late payments shall accrue the Late Payment Charge stated above, plus any costs of collection, including reasonable attorneys’ fees.

TERM AND TERMINATION

This Agreement commences on and continues until unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach by the other party that remains uncured for the Notice Period specified above after written notice. Either party may also terminate for convenience upon the Notice Period with payment for all services rendered and expenses incurred through the effective date of termination. Termination does not relieve Client of the obligation to pay for Services performed prior to the effective date of termination.

CONFIDENTIALITY

Each party (the "Recipient") shall hold in confidence all non-public, proprietary, or confidential information disclosed by the other party (the "Discloser") and shall not use or disclose such information except as required to perform under this Agreement. Confidential information excludes information that (a) is or becomes publicly available other than through a breach of this Agreement, (b) was lawfully in Recipient's possession prior to disclosure, or (c) is independently developed by Recipient without use of Discloser’s confidential information. Upon termination, Recipient shall return or destroy Discloser’s confidential materials and certify such return or destruction upon request.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of without regard to its conflict of laws principles. Any dispute arising under this Agreement shall be resolved in the state or federal courts located within the chosen jurisdiction, subject to the other remedies and limitations set forth herein.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or attachments signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to such subject matter. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

The parties acknowledge that they have read and understand this Agreement, and that they have the authority to enter into this Agreement and bind the entities for which they act.
