WHEREAS, Client requires certain professional services related to its business operations and desires to engage Service Provider to perform such services under the terms and conditions set forth in this Agreement.

WHEREAS, Service Provider represents that it possesses the experience, personnel and capability to perform the services described in this Agreement and is willing to provide those services to Client for compensation as provided herein.

WHEREAS, the parties intend that this Agreement memorialize their respective rights and obligations and provide for the confidentiality and protection of certain information exchanged in the course of the relationship.

Scope of Work

The Service Provider shall perform the services described above in a professional manner consistent with industry standards and in accordance with any milestones or delivery schedule agreed in writing by the parties.

Payment Terms

All payments shall be made in United States dollars unless otherwise agreed in writing. Client shall pay invoices within the period specified above. Past due amounts shall accrue interest or late fees as set forth in the Late Payment Fee field and Service Provider may suspend performance if invoiced amounts remain unpaid after fourteen (14) days' written notice.

Term and Termination

This Agreement shall commence on Start Date: and continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon providing the notice period set forth above. Either party may terminate for material breach if the breaching party fails to cure the breach within thirty (30) days after receiving written notice specifying the breach.

Confidentiality

Each party acknowledges that in the course of performance it may receive Confidential Information of the other party. "Confidential Information" means non-public business, technical or financial information marked as confidential or reasonably understood to be confidential. Each party agrees to: (a) use Confidential Information solely to perform under this Agreement; (b) restrict access to employees and contractors with a need to know; and (c) not disclose Confidential Information to third parties without prior written consent, except as required by law. The obligations in this section shall survive termination for a period of three (3) years.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, negotiations and understandings, whether written or oral. No amendment or modification shall be binding unless reduced to writing and signed by authorized representatives of both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and shall be delivered to the addresses below by hand, certified mail, or courier.

Representations and Remedies

Each party represents and warrants that it has full power and authority to enter into this Agreement and that the execution of this Agreement by the signing party has been duly authorized. The remedies provided in this Agreement are cumulative and in addition to any other remedies available at law or in equity.
