BUSINESS DOCUMENT OPTIMIZE AGREEMENT

This Business Document Optimize Agreement ("Agreement") is entered into by and between Client Name: , with principal address: and Service Provider Name: , with principal address: (each a "Party" and together the "Parties"). Effective Date:

WHEREAS

WHEREAS, Client requires professional services to analyze, refine, and improve business documents, internal templates, and related deliverables to increase clarity, legal robustness, and operational efficiency (collectively, the "Services");

WHEREAS, Provider represents that it has the expertise, personnel and capacity to perform the Services described herein and will perform such Services in accordance with the terms of this Agreement;

WHEREAS, the Parties desire to set forth their respective rights and obligations with respect to the Services and any resulting deliverables.

SCOPE OF WORK

Provider shall perform the Services described below. Provider shall deliver the work products and revisions as set forth in this Agreement and as reasonably required for Client's acceptance testing and implementation.

PAYMENT TERMS

In consideration for the Services, Client shall pay Provider the fees set forth below in accordance with this Section. All amounts are stated in U.S. dollars unless otherwise indicated.

All invoices shall itemize hours, rates, and expenses where applicable. Client shall notify Provider in writing of any disputed amounts within ten (10) days of invoice receipt; undisputed portions remain payable in accordance with the invoice due date. Late payments shall accrue interest as specified above and Provider may suspend performance if payments are more than thirty (30) days overdue after written notice.

TERM AND TERMINATION

This Agreement commences on the Start Date: and continues until the End Date: , unless earlier terminated in accordance with this Section.

Either Party may terminate this Agreement for convenience upon written notice to the other Party no fewer than days prior to the effective termination date.

Either Party may terminate immediately for material breach if the breaching Party fails to cure such breach within thirty (30) days following written notice specifying the breach. Upon termination, Client shall pay Provider for Services performed and accepted deliverables up to the effective date of termination and for any non-cancellable third-party costs reasonably incurred.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by one Party ("Disclosing Party") to the other Party ("Receiving Party") in any form that is designated confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information includes, without limitation, business plans, strategies, pricing, customer lists, templates, legal documents, and technical data.

The Receiving Party shall: (a) hold Confidential Information in strict confidence using at least the same degree of care it uses to protect its own confidential information but in no event less than reasonable care; (b) not use Confidential Information for any purpose other than performance of the Services; and (c) not disclose Confidential Information to any third party except to its employees, contractors or agents who have a need to know and who are bound by confidentiality obligations at least as restrictive as those contained herein.

The foregoing obligations shall not apply to information that: (i) is or becomes publicly known through no breach of this Agreement by the Receiving Party; (ii) is rightfully received from a third party without a duty of confidentiality; (iii) is independently developed by the Receiving Party without reference to the Disclosing Party's Confidential Information; or (iv) is required to be disclosed by law or court order, provided the Receiving Party gives prompt notice and cooperates with the Disclosing Party to seek protective measures.

Upon termination or written request, the Receiving Party shall promptly return or destroy all Confidential Information and certify in writing the return or destruction of such materials, except that Provider may retain one archival copy of materials as required for legal, tax or regulatory compliance subject to confidentiality obligations.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. The Parties submit to the exclusive jurisdiction of the state and federal courts located in that state for any dispute arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, together with any attachments or statements of work expressly incorporated herein, constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. No amendment or modification shall be binding unless in writing and signed by both Parties.

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect and the Parties shall negotiate in good faith a substitute provision that most nearly effects the Parties' intent.
