BUSINESS DOCUMENT PACIFIC BLUE

This Business Agreement (the "Agreement") is entered into as of by and between:

Recitals

WHEREAS, Party A requires certain services related to its business operations and has engaged Party B to perform such services under the terms and conditions set forth herein; and

WHEREAS, Party B possesses the experience, personnel and resources necessary to perform the services described below and is willing to provide such services to Party A in accordance with this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows.

Party B shall perform the services described below (the "Services") in a professional and timely manner consistent with industry standards. The Services shall include, without limitation:

Payment Terms

Compensation for the Services shall be as follows. The parties acknowledge and agree that amounts and schedules below reflect the entire monetary arrangement between the parties.

Invoices shall be rendered in writing and are due within days of receipt. Late payments shall accrue interest at a rate of % per month (or the maximum lawful rate, if less), plus reasonable collection costs.

Term and Termination

This Agreement shall commence on and shall continue in effect until , unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for any reason upon written notice to the other party delivered at least days prior to the effective date of termination. Either party may terminate immediately for material breach that remains uncured for a period of 15 days following written notice of such breach.

Confidentiality

"Confidential Information" means any non-public information disclosed by one party to the other that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information includes business plans, technical data, trade secrets, customer lists, pricing, and marketing strategies.

Receiving party shall (a) hold the Confidential Information in confidence with at least the same degree of care it uses to protect its own confidential information but no less than reasonable care; (b) not disclose Confidential Information to any third party except as expressly permitted herein; and (c) use Confidential Information solely for the purposes of performing obligations under this Agreement. Confidentiality obligations shall continue for a period of years following termination or expiration of this Agreement, except to the extent a longer period is required by applicable law.

The obligations in this section shall not apply to information that (i) is or becomes publicly available through no act or omission of the receiving party; (ii) was known to the receiving party prior to disclosure as evidenced by written records; (iii) is rightfully received from a third party without a duty of confidentiality; or (iv) is independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information.

Representations; Insurance

Each party represents and warrants that it has the full corporate power and authority to enter into this Agreement and to perform its obligations hereunder. Party B shall maintain, at its expense, commercial general liability insurance and professional liability insurance in amounts customary for its industry during the Term.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to conflicts of law principles. Venue for any action arising out of or relating to this Agreement shall lie exclusively in the state or federal courts located within that state.

Entire Agreement; Amendments

This Agreement, including any exhibits and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, understandings and communications, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

Indemnification; Limitation of Liability

Each party shall indemnify, defend and hold harmless the other party from and against claims, liabilities and expenses arising from its breach of this Agreement, gross negligence or willful misconduct. EXCEPT FOR LIABILITY ARISING FROM A PARTY'S GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR A BREACH OF THE CONFIDENTIALITY OBLIGATIONS, NEITHER PARTY SHALL BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate in writing. Notices shall be effective upon delivery when delivered personally, by nationally recognized overnight courier, or by certified mail, return receipt requested.

Miscellaneous

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties acknowledge that this Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.
