This Business Document Package (the "Agreement") is made and entered into as of Effective Date: by and between Client Name: , with primary address: , and Service Provider Name: , with primary address: .

Recitals

WHEREAS, Client requires certain business services, deliverables, or documentation as described below, and Provider represents that it has the experience, personnel and resources necessary to perform such services under the terms set forth herein.

WHEREAS, the parties wish to set forth their respective rights and obligations with respect to the performance, delivery, payment and confidentiality of the work product to be provided by Provider.

WHEREAS, the parties intend for this Agreement to constitute the complete understanding between them relating to the subject matter hereof.

Scope of Work

Provider shall perform the services described above in a professional and workmanlike manner in accordance with industry standards. Deliverables shall be deemed accepted by Client upon written acceptance or, if no written acceptance is provided, upon the earlier of (a) the Client's use of the deliverable in production or (b) ten (10) business days after delivery, absent a written notice specifying deficiencies.

Payment Terms

Unless otherwise agreed in writing, payments are due in accordance with the Payment Schedule above. Invoices not disputed in good faith within seven (7) calendar days of receipt shall be deemed accepted. Overdue amounts shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, calculated daily from the invoice due date until paid in full. Client shall also be responsible for reasonable costs of collection, including attorneys' fees.

Term and Termination

This Agreement shall commence on Commencement Date: and shall continue until End Date: , unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective date of termination. Either party may terminate immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the nature of the breach.

Upon termination, Client shall pay Provider for all services performed and expenses incurred through the effective date of termination. Sections concerning confidentiality, indemnification, limitation of liability, and governing law shall survive termination.

Confidentiality

"Confidential Information" means all non-public information disclosed by a disclosing party to the receiving party, whether written, oral or electronic, including trade secrets, business strategies, pricing, customer lists, technical data and inventions. The receiving party shall (a) use Confidential Information only to perform its obligations under this Agreement; (b) restrict disclosure of Confidential Information to employees, contractors or advisors with a need to know and who are bound by confidentiality obligations no less protective than those herein; and (c) exercise at least the same degree of care to protect Confidential Information as it does its own confidential information, but in no event less than reasonable care.

Confidential obligations shall continue for a period of years from the date of disclosure, except that trade secrets shall be protected for as long as they qualify as trade secrets under applicable law.

Intellectual Property; Work Product

Unless otherwise agreed in writing, Provider grants to Client a non-exclusive, worldwide, royalty-free license to use the deliverables delivered under this Agreement solely for Client's internal business purposes. Provider retains ownership of Provider's pre-existing intellectual property and tools. To the extent any Provider materials are incorporated into deliverables, Provider grants Client a perpetual license to such materials solely to the extent necessary to use the deliverables as intended.

Indemnification and Limitation of Liability

Each party shall indemnify, defend and hold harmless the other party from and against third-party claims arising from the indemnifying party's gross negligence, willful misconduct or material breach of this Agreement. Except for liability arising from indemnification obligations, a party's aggregate liability under or in connection with this Agreement shall not exceed the total amounts paid or payable by Client to Provider under this Agreement during the twelve (12) month period preceding the event giving rise to the claim. Neither party shall be liable for indirect, incidental, special or consequential damages.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for the resolution of disputes arising under this Agreement.

Miscellaneous

Relationship of the Parties: Provider is an independent contractor and nothing in this Agreement shall be construed to create an employment, partnership, joint venture or agency relationship. Neither party may assign its rights or delegate its obligations without the prior written consent of the other, except that Provider may assign to an affiliate or in connection with a sale of substantially all of its business or assets.

Notices shall be given in writing and delivered to the addresses set forth above or to such other address as a party may designate by notice. Any amendment or waiver of any term of this Agreement must be in writing and signed by authorized representatives of both parties.

Entire Agreement

This Agreement, including any Schedules or Statements of Work executed hereunder, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, representations, warranties, commitments and agreements, whether written or oral. If any provision of this Agreement is held unenforceable, the remaining provisions shall remain in full force and effect.
