RECITALS

WHEREAS, Client requires certain business, consulting and related services described herein, and Provider represents that it has the qualifications, skills and resources to perform such services in a professional manner;

PAYMENT TERMS

Interest on overdue amounts shall accrue at the lesser of: (a) percent per month, or (b) a fixed fee of $. All interest and fees are cumulative and payable on demand.

TERM AND TERMINATION

Term: This Agreement shall commence on Start Date: and continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for any reason upon written notice to the other party delivered no fewer than days prior to the effective date of termination. In addition, either party may terminate immediately for material breach if the breach remains uncured for a period of thirty (30) days after written notice thereof.

Effect of Termination: Upon termination, Provider shall deliver to Client all work in progress and Client shall pay Provider for services performed and reimbursable expenses incurred through the effective date of termination.

CONFIDENTIALITY

Definition: "Confidential Information" means non-public information disclosed by either party to the other in connection with this Agreement, whether disclosed orally, in writing or electronically, and includes business plans, financial data, technical information and customer lists, but does not include information that (i) is or becomes publicly known other than through breach of this Agreement, (ii) is rightfully received from a third party without restriction, or (iii) is independently developed without use of the disclosing party's Confidential Information.

Obligations: Each party shall (a) hold Confidential Information in strict confidence, (b) not disclose Confidential Information to any third party except to its employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those in this Agreement, and (c) use Confidential Information solely to perform its obligations under this Agreement.

Compelled Disclosure: If a party is compelled by law to disclose Confidential Information, it shall provide the other party with prompt written notice and cooperate to seek a protective order or other appropriate remedy.

GOVERNING LAW; DISPUTE RESOLUTION

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

Disputes: The parties shall attempt in good faith to resolve any dispute arising out of or relating to this Agreement through negotiation. If the dispute is not resolved within thirty (30) days, the parties may pursue any remedy available at law or in equity.

ENTIRE AGREEMENT; MISCELLANEOUS

Entire Agreement: This Agreement (including its exhibits and attachments, if any) constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral.

Assignment and Amendment: Neither party may assign this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger or sale of substantially all of its assets. Any amendment must be in writing and signed by authorized representatives of both parties.

Severability: If any provision of this Agreement is held unenforceable, the remaining provisions shall remain in full force and effect.
