This General Business Agreement ("Agreement") is entered into as of Effective Date: by and between Client Name: with principal place of business at and Contractor Name: with principal place of business at (each a "Party" and together the "Parties").

RECITALS

WHEREAS, Client requires certain business services and deliverables related to its operations and has sought the professional services of Contractor; and

WHEREAS, Contractor represents that it has the skill, experience and qualifications to perform the services described in this Agreement and is willing to provide such services to Client on the terms and conditions set forth herein; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained in this Agreement, the Parties agree as follows:

SCOPE OF WORK

PAYMENT TERMS

Compensation: Client shall pay Contractor a total fee of USD (the "Fee") for the services described in the Scope of Work. The Fee is exclusive of applicable taxes unless otherwise stated.

Invoicing and Payment Method: Contractor shall submit written invoices in accordance with the Payment Schedule. Client shall pay invoiced amounts within days of invoice date by the payment method specified in writing between the Parties.

Late Payments: Any overdue amount shall accrue interest at a rate of or the maximum rate permitted by law, whichever is less. Client is responsible for any collection costs and reasonable attorneys' fees incurred by Contractor to collect overdue amounts.

TERM AND TERMINATION

Term: This Agreement shall commence on Start Date: and shall continue in full force until End Date: unless earlier terminated in accordance with this Agreement.

Termination for Convenience: Either Party may terminate this Agreement for convenience upon providing written notice to the other Party at least days prior to the effective date of termination.

Termination for Cause: Either Party may terminate this Agreement immediately upon written notice if the other Party materially breaches any provision of this Agreement and fails to cure such breach within fifteen (15) days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Definition and Obligations: "Confidential Information" means non-public, proprietary or confidential information disclosed by a Party to the other Party, whether oral, written or electronic. The receiving Party shall (i) use Confidential Information solely for the performance of its obligations under this Agreement; (ii) restrict disclosure to those employees, contractors or agents who have a need to know and who are bound by confidentiality obligations at least as protective as those contained herein; and (iii) implement reasonable safeguards to protect such Confidential Information from unauthorized disclosure.

Exclusions and Compelled Disclosure: Confidential Information does not include information that is (a) already known to the receiving Party without obligation of confidentiality; (b) publicly available through no wrongful act of the receiving Party; or (c) rightfully received from a third party without restriction. If the receiving Party is compelled to disclose Confidential Information by law or regulatory process, it shall provide prompt written notice to the disclosing Party and cooperate in any reasonable effort to limit disclosure or obtain protective measures.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The Parties submit to the exclusive jurisdiction of the state and federal courts located in that State for any dispute arising out of or relating to this Agreement.

ENTIRE AGREEMENT

This Agreement, including all exhibits and attachments expressly incorporated herein, constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, understandings and communications, whether written or oral. Any amendment to this Agreement must be in writing and signed by authorized representatives of both Parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by hand, overnight courier, certified mail (return receipt requested) or electronic transmission followed by confirmed delivery.

MISCELLANEOUS

Relationship of the Parties: The Parties are independent contractors. Nothing in this Agreement shall be construed to create a partnership, joint venture, employment or agency relationship between the Parties. Neither Party has authority to bind the other except as expressly set forth in this Agreement.

Assignment: Neither Party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other Party, which consent shall not be unreasonably withheld, except that either Party may assign to an affiliate or in connection with a merger, sale of substantially all assets, or change of control.
