This Business Services Agreement (the Agreement) is made and entered into as of Effective Date: by and between the following parties.

Recitals

WHEREAS, Client desires to engage Service Provider to perform certain business services and deliverables described herein, and Service Provider is willing to perform such services under the terms and conditions set forth in this Agreement.

WHEREAS, the parties intend that the services be performed with due professional care, in accordance with applicable law, and consistent with the schedule and compensation agreed below.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows.

Scope of Work

Service Provider shall perform the services and deliver the work products described below. The description provided is a complete and binding statement of the initial scope; any change in scope shall be governed by the Change Order procedure set forth in this Agreement.

Payment Terms

As consideration for the Services, Client shall pay Service Provider the fees and expenses set forth below. Fees are exclusive of taxes unless otherwise specified.

Invoices submitted by Service Provider are payable within days of receipt unless otherwise agreed in writing. Overdue amounts shall accrue interest at a rate of from the invoice due date, together with any costs of collection.

Client shall pay all reasonable out-of-pocket expenses pre-approved in writing. Where applicable, amounts payable under this Agreement shall be subject to withholding and collection requirements of governmental authorities.

Term and Termination

This Agreement shall commence on Start Date: and remain in effect until End Date: unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate immediately for cause upon written notice if the other party materially breaches any obligation and fails to cure within thirty (30) days after receiving written notice of such breach. Termination shall not relieve Client of its obligation to pay for Services performed and expenses incurred prior to termination.

Confidentiality

For the purposes of this Agreement, "Confidential Information" means non-public, proprietary, or sensitive information disclosed by one party to the other, whether disclosed orally, visually, or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

The receiving party shall: (a) hold Confidential Information in strict confidence using at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care; (b) not disclose Confidential Information to any third party except to its employees, affiliates, or contractors who have a need to know and who are bound by confidentiality obligations no less restrictive than those herein; and (c) use Confidential Information solely for the purpose of performing obligations under this Agreement. Confidential Information shall not include information that is or becomes generally available to the public other than through a breach of this Agreement, is rightfully received from a third party without restriction, or is independently developed without use of the disclosing party’s Confidential Information.

The obligations in this section shall survive termination or expiration of this Agreement for a period of three (3) years, except that trade secrets shall be protected for so long as they meet the legal definition of a trade secret.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its principles of conflicts of law. The parties submit to the exclusive jurisdiction of the state and federal courts located within that state for resolution of disputes arising under this Agreement.

Entire Agreement

This Agreement, including all schedules, attachments, and mutually executed change orders, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, negotiations and understandings, whether oral or written. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.

All notices required or permitted under this Agreement must be in writing and will be deemed given when delivered personally, sent by certified mail (return receipt requested), or sent by nationally recognized overnight courier to the addresses set forth above or to such other address as either party may designate in writing.
