This General Business Agreement ("Agreement") is made and entered into as of by and between:

Recitals

WHEREAS, Client desires to engage Service Provider to perform the services described herein and Service Provider represents that it has the capacity, expertise, and resources to perform such services in a professional manner; and

WHEREAS, the parties wish to set forth the terms and conditions governing the performance of services, payment, confidentiality, and related matters.

Scope of Work

Service Provider will perform the services described below in accordance with the terms of this Agreement. The Scope of Work may be modified only by a written amendment signed by both parties.

Payment Terms

Client shall pay Service Provider the fees and expenses set forth below in consideration for the performance of the Scope of Work. All payments shall be made in U.S. Dollars unless otherwise agreed in writing.

This Agreement commences on the Start Date and continues until the End Date or until earlier terminated as provided below.

Confidentiality

Each party (the "Receiving Party") shall hold in strict confidence all non-public information disclosed by the other party (the "Disclosing Party") and shall not use or disclose such Confidential Information except as necessary to perform obligations under this Agreement. Confidential Information includes business plans, financial information, technical data and trade secrets, but excludes information that is public or rightfully received from a third party without obligation of confidentiality.

The parties shall limit access to Confidential Information to employees, contractors, and agents who have a need to know and who are bound by confidentiality obligations at least as protective as those herein. The obligations in this section survive termination for a period of three (3) years except with respect to trade secrets, which shall remain protected for as long as such information qualifies as a trade secret.

Acknowledgement of Confidentiality:

Intellectual Property and Work Product

Unless otherwise agreed in writing, Service Provider assigns to Client all right, title and interest in and to any deliverables specifically prepared for Client under this Agreement. Service Provider retains ownership of its pre-existing tools, methodologies, and general skills. The parties will execute additional instruments as necessary to effectuate such assignment.

Indemnification and Limitation of Liability

Each party shall indemnify, defend and hold harmless the other party from and against third-party claims arising out of the indemnifying party's gross negligence, willful misconduct, or material breach of this Agreement. Except for liability arising from gross negligence or willful misconduct, neither party's aggregate liability for direct damages under this Agreement shall exceed the total fees actually paid by Client to Service Provider under this Agreement in the preceding twelve (12) months.

Representations and Warranties

Each party represents that it has the full right, power and authority to enter into this Agreement and to perform its obligations. Service Provider represents that the services will be provided in a professional and workmanlike manner consistent with industry standards.

Notices

All notices required or permitted shall be in writing and delivered to the addresses set forth below by personal delivery, certified mail, or overnight courier and shall be effective upon receipt.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles.

Entire Agreement

This Agreement, together with any exhibits or written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. No waiver or modification shall be effective unless in writing and signed by an authorized representative of each party.

Miscellaneous

If any provision of this Agreement is held unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that either party may assign to an affiliate or in connection with a sale of substantially all of its assets.
