BUSINESS DOCUMENT PULSANT

RECITALS

WHEREAS, Party A is engaged in the business described below and requires services from a qualified provider; and

WHEREAS, Party B represents that it has the expertise, personnel and capacity to perform the services described in this Agreement and is willing to perform such services on the terms and conditions set forth herein; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth in this Agreement, the parties agree as follows:

SCOPE OF WORK

Party B shall perform the services and deliverables described below. All work shall be performed in a professional and workmanlike manner consistent with industry standards.

Acceptance: Deliverables shall be deemed accepted when Party A provides written acceptance or does not provide written rejection specifying deficiencies within days of delivery.

PAYMENT TERMS

Compensation: In consideration for the services, Party A shall pay Party B as set forth below.

Invoices are due within days of invoice date. Late payments shall bear interest at the rate specified below.

TERM AND TERMINATION

Term: This Agreement shall commence on and shall terminate on unless earlier terminated in accordance with this Agreement.

Termination for Convenience: Either party may terminate this Agreement for convenience upon written notice of days to the other party.

Termination for Cause: Either party may terminate for material breach by the other if the breaching party fails to cure such breach within days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Definition: "Confidential Information" means non-public information disclosed by one party to the other, whether written, oral or electronic, that is designated confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure.

Non-Disclosure and Use: Receiving party shall (a) hold Confidential Information in strict confidence; (b) not disclose Confidential Information to third parties except as expressly permitted in this Agreement; and (c) use Confidential Information solely to perform its obligations under this Agreement. Receiving party shall take at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care.

Exceptions: Confidential Information does not include information that is (i) publicly known other than by breach of this Agreement, (ii) rightfully received from a third party without restriction, (iii) independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information, or (iv) required to be disclosed by law subject to any applicable protective order or similar process.

Duration: Confidentiality obligations shall survive termination of this Agreement for , except that obligations with respect to trade secrets shall survive for as long as such information retains trade secret status under applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that jurisdiction for any dispute arising under this Agreement.

MISCELLANEOUS

Entire Agreement: This Agreement, including any attachments and exhibits, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral.

Amendments: No amendment or modification of this Agreement shall be effective unless in writing and executed by authorized representatives of both parties.

Assignment: Neither party may assign or transfer this Agreement or any rights hereunder without the prior written consent of the other party, except to a successor in interest through merger, acquisition or sale of substantially all assets, provided that the assignee agrees in writing to be bound by the terms and conditions of this Agreement.

Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
