Typical Timelines and Deadlines to Monitor

Track execution timing and post-signature obligations to meet payment schedules, renewal windows, and regulatory filing deadlines.

Execution Deadline:

Sign by the effective start date to avoid retroactivity or onboarding delays.

Invoice Turnaround:

Submit invoices per payment terms—commonly within 30 days of invoice receipt.

Renewal Notice:

Provide contractual notice for renewal or cancellation per clause timelines.

Recordkeeping Start:

Begin retention period from the effective date or final signature, as specified.

Dispute Window:

Comply with notice periods for claims or cure rights in the contract.

Common Preparation Mistakes to Avoid

  • Leaving ambiguous payment triggers such as 'upon completion' without measurable acceptance criteria, which leads to invoicing disputes and delayed collections.
  • Failing to verify signer authority for an entity, which creates enforceability challenges if the signer lacked corporate authorization or a board resolution.
  • Attaching inconsistent exhibits or schedules that conflict with the main body of the agreement, creating ambiguity about deliverables or pricing.
  • Relying on informal text messages or emails for material changes instead of executing written amendments, which complicates audit trails and contract history.

Consequences of Incomplete or Incorrect Rafferty Agreements

Voidable Terms: Ambiguous clauses may be unenforceable
Tax Exposure: Incorrect withholding or reporting
Contract Disputes: Higher litigation or arbitration risk
Delayed Payments: Cash-flow disruption for vendors
Compliance Violations: HIPAA or privacy breaches if applicable
I-9 Penalties: Record errors trigger fines (8 CFR §274a.2)
