Common mistakes to avoid when preparing the document

  • Leaving required fields blank or using inconsistent party names that complicate identification and tax reporting, often leading to delayed payments and additional verification steps.
  • Failing to select the correct governing law or jurisdiction, which can create disputes about interpretation, venue, and enforceability if a conflict arises.
  • Not capturing explicit consent for electronic records in consumer-facing transactions; ESIGN requires clear consumer consent and proof of access to electronic format.
  • Overlooking authentication strength for high-risk signers; weak email-only methods may not provide sufficient attribution for regulated documents.

Key penalties and legal risks from incorrect or late filings

Late 1099 filing: $60–$330 per form
Intentional disregard: $660+ per form, no cap
I-9 violations: $281–$2,789 per violation
Backup withholding: 24% withholding rate
Incorrect names: Delays payments, tax misreporting risk
Unauthorized signatures: May render agreement unenforceable

Practical tips to improve accuracy and reduce rework

Adopt consistent templates, validate fields, and maintain a defined signing workflow to improve accuracy and compliance across all Business Document Raquel instances.

Use standardized templates for consistency
Maintain a single approved template version; restrict editing to authorized users, apply field validations, and document changes in a version history so that executed copies always match the approved terms and reduce interpretation risk during audits.
Validate signer identity appropriate to risk level
Select authentication methods (email, SMS, KBA, or SSO) that match transaction sensitivity; document your choice, capture IPs and timestamps, and retain authentication evidence to support attribution under ESIGN and UETA.
Establish and enforce a record retention policy
Define retention periods for active agreements, post-termination storage, and industry-specific records; ensure the system exports readable copies, stores audit trails, and implements legal holds when litigation or regulatory inquiries arise.
Avoid vague consideration or payment language
Specify amounts, billing schedules, remittance instructions, and tax treatment clearly; ambiguous consideration invites contract disputes, complicates accounting, can trigger backup withholding, and increases administrative costs for all parties over time.
