BUSINESS DOCUMENT RB DOCUMENT

RECITALS

WHEREAS, Client Name: is engaged in the business described above and desires to retain the services of the Service Provider on the terms and conditions set forth herein; and

WHEREAS, Service Provider Name: has represented that it has the necessary expertise, personnel and resources to perform the services described in this Agreement; and

WHEREAS, the parties desire to set forth herein the terms and conditions under which the Service Provider will provide services to the Client, effective as of Effective Date: .

SCOPE OF WORK

Service Provider shall perform the services and deliverables described below. The parties acknowledge that the scope may be amended only by written agreement signed by authorized representatives of both parties.

PAYMENT TERMS

Client shall pay Service Provider according to the fee schedule set forth below. All amounts are payable in lawful currency and are exclusive of any taxes unless otherwise stated.

Any undisputed amount not paid within the invoice terms shall bear interest at the lesser of (a) or (b) the maximum rate permitted by applicable law. In addition, a one-time administrative late fee of may be charged.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for any reason upon written notice delivered not less than days prior to the effective termination date. Upon termination for convenience, Client shall pay Service Provider for all work performed and expenses incurred through the effective date of termination.

Either party may terminate this Agreement immediately upon written notice if the other party materially breaches any provision of this Agreement and fails to cure such breach within days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Each party (the "Receiving Party") shall hold in confidence and not disclose to any third party any Confidential Information of the other party (the "Disclosing Party"), nor use such Confidential Information except as necessary to perform its obligations under this Agreement. "Confidential Information" means non-public information disclosed in tangible or intangible form that is designated as confidential or that a reasonable person would understand to be confidential.

Exceptions: Confidential Information does not include information that (i) is or becomes publicly available through no breach of this Agreement, (ii) was already known by the Receiving Party without obligation of confidentiality, (iii) is rightfully received from a third party without restriction, or (iv) is independently developed without use of the Disclosing Party's Confidential Information. The Receiving Party may disclose Confidential Information to the extent required by law, provided it gives the Disclosing Party prompt written notice and cooperates in seeking confidential treatment.

The obligations of confidentiality shall survive termination or expiration of this Agreement for a period of years.

INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party and its officers, directors, employees and agents from and against any third-party claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's breach of this Agreement, negligence or willful misconduct.

NOTICES

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts located in that State for any action arising out of or relating to this Agreement.

MISCELLANEOUS

Entire Agreement: This Agreement, including any schedules and attachments, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral.

Amendment: No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

Assignment: Neither party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other party, except that Service Provider may assign to an affiliate or in connection with a merger, sale of substantially all of its assets or corporate reorganization, provided that the assignee assumes all obligations hereunder.

Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
