Business Document RBT

This Business Agreement (the "Agreement") is entered into as of by and between ("Client") and ("Provider"). Each of Client and Provider may be referred to herein individually as a "Party" and collectively as the "Parties."

WHEREAS

WHEREAS, Client desires to engage Provider to perform certain business services and Provider has the expertise and capacity to perform such services under the terms set forth in this Agreement; and

WHEREAS, the Parties intend for Provider to perform the services described in this Agreement in accordance with the specifications, schedule, and compensation terms set forth below.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and for other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the Parties agree as follows:

Scope of Work

Provider shall perform the Services in a professional and workmanlike manner in accordance with industry standards. Provider will deliver the following key deliverables and milestones:

In exchange for the performance of the Services, Client shall pay Provider as follows:

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Confidentiality

Each Party acknowledges that during the course of performance it may receive Confidential Information of the other Party. "Confidential Information" means non-public information disclosed in any form that is identified as confidential or that reasonably should be understood to be confidential.

Each Party agrees (a) to hold Confidential Information in strict confidence and to take all reasonable precautions to protect such Confidential Information, (b) not to disclose Confidential Information to any third party except to its employees, contractors, or advisors on a need-to-know basis who are bound by confidentiality obligations at least as protective as those herein, and (c) not to use Confidential Information except to perform its obligations under this Agreement.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of laws principles. The Parties shall attempt in good faith to resolve any dispute arising out of or relating to this Agreement through negotiation. If the Parties cannot resolve a dispute within 30 days, either Party may seek any remedy available at law or in equity.

Miscellaneous Provisions

Independent Contractor: Provider is an independent contractor and not an employee, partner, or agent of Client. Provider shall be solely responsible for payment of all taxes and benefits for its personnel.

Assignment: Neither Party may assign this Agreement without the prior written consent of the other Party, except to an affiliate or in connection with a merger or sale of substantially all assets, provided the assignee assumes all obligations under this Agreement.

Indemnification: Each Party shall indemnify, defend and hold harmless the other Party from and against any claims, liabilities, losses, damages and expenses arising out of its gross negligence or willful misconduct in connection with performance under this Agreement.

Entire Agreement

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both Parties.
