BUSINESS DOCUMENT RDR

This General Business Agreement (the "Agreement") is made effective as of Effective Date: by and between Service Provider Name: with principal place of business at , and Client Name: with principal place of business at (each a "Party" and collectively the "Parties").

WHEREAS

WHEREAS, Service Provider is engaged in the business of providing professional services and possesses the skills, personnel, equipment and expertise necessary to perform the services described in this Agreement; and

WHEREAS, Client desires to retain Service Provider to perform the work set forth herein pursuant to the terms and conditions of this Agreement; and

WHEREAS, the Parties intend by this Agreement to set forth their respective rights and obligations with respect to the scope of work, compensation, confidentiality and other matters of mutual concern.

SCOPE OF WORK

Service Provider shall perform the services described below in a professional and workmanlike manner in accordance with industry standards. The Parties acknowledge that descriptions below constitute the full and complete scope of work for which Service Provider will be compensated.

PAYMENT TERMS

In consideration for the performance of the Scope of Work, Client shall pay Service Provider the compensation set forth below. All payments shall be made in United States dollars unless otherwise agreed in writing.

Late payments shall accrue a late fee of % per month on the outstanding balance, after a grace period of days. Client shall also be responsible for reasonable collection costs and attorneys' fees incurred by Service Provider in collecting overdue amounts.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either Party may terminate this Agreement for convenience upon providing the other Party with written notice no fewer than days prior to the effective date of termination. Either Party may terminate immediately for material breach if the breaching Party fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach. Termination shall not relieve Client of the obligation to pay for services performed and expenses incurred prior to the effective date of termination.

CONFIDENTIALITY

For purposes of this Agreement, "Confidential Information" means all nonpublic information disclosed by one Party ("Disclosing Party") to the other Party ("Receiving Party") that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information includes, without limitation, business plans, pricing, financial data, trade secrets, client lists, technical information, and proprietary processes.

The Receiving Party shall: (a) hold Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party except to employees, contractors or agents who have a need to know and who are bound by confidentiality obligations at least as protective as those herein; and (c) use Confidential Information solely to perform its obligations or exercise its rights under this Agreement. The obligations in this Section do not apply to information that (i) is or becomes publicly known through no fault of the Receiving Party; (ii) is rightfully received from a third party without restriction; (iii) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information; or (iv) is required to be disclosed by law, provided that the Receiving Party gives the Disclosing Party prompt written notice and cooperates in any lawful effort to limit disclosure or obtain protective orders.

Upon termination or expiration of this Agreement, the Receiving Party shall return or destroy all Confidential Information of the Disclosing Party and certify in writing that it has done so. The confidentiality obligations set forth herein shall survive termination or expiration of this Agreement for a period of years; provided, however, that trade secrets shall be protected for so long as they remain trade secrets under applicable law. The Parties acknowledge that monetary damages may be insufficient remedy for breach of confidentiality and that injunctive relief may be appropriate in addition to any other available remedies.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to principles of conflicts of law. Any legal action arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in that State, and each Party irrevocably consents to the jurisdiction and venue of such courts.

ENTIRE AGREEMENT; MISCELLANEOUS

This Agreement, together with any attachments or exhibits expressly incorporated herein, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. No amendment or modification shall be effective unless in writing and signed by authorized representatives of both Parties.

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be reformed only to the extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect. Neither Party may assign this Agreement without the prior written consent of the other Party, except that either Party may assign to an affiliate or in connection with a merger, sale of substantially all assets, or change of control.
