Business Document Request and Services Agreement

This Business Document Request and Services Agreement (the Agreement) is entered into by and between Requester Name: , Requester Company: (collectively, "Requester"), and Provider Name: , Provider Company: (collectively, "Provider"), effective as of Effective Date: .

WHEREAS

WHEREAS, Requester requires the preparation, review, and delivery of certain corporate and business documents as set forth in this Agreement; and

WHEREAS, Provider represents that it has the requisite experience, personnel, and systems to prepare, assemble and deliver the requested documents in accordance with the terms of this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows.

Scope of Work

Provider shall perform the following services for Requester in connection with the requested documents. Provider's obligations shall include drafting, revision, finalization, and delivery of the documents specified below subject to the terms of this Agreement.

Payment Terms

Requester shall pay Provider for services in accordance with the following fee structure and schedule.

Late payments shall accrue a late fee equal to % per month on unpaid balances, or the maximum permissible under applicable law, whichever is lower. Provider may suspend work and withhold delivery of documents until past due amounts are paid in full.

Term and Termination

This Agreement commences on Start Date: and shall continue until End Date: unless earlier terminated as provided below.

Either party may terminate this Agreement for convenience upon prior written notice of days to the other party. Either party may terminate for material breach if such breach is not cured within thirty (30) days after written notice of the breach. Termination shall not relieve Requester of its obligation to pay Provider for services performed through the effective date of termination.

Confidentiality

Each party shall keep confidential and shall not disclose to any third party any non-public information disclosed by the other party in connection with this Agreement ("Confidential Information"), except to the extent such information (i) is or becomes generally available to the public through no breach of this Agreement, (ii) is rightfully received from a third party without restriction, or (iii) is required to be disclosed by law or valid legal process, provided the disclosing party gives prior written notice and cooperates to seek confidential treatment or a protective order. The obligations of confidentiality shall survive termination of this Agreement for a period of three (3) years.

Delivery and Acceptance

Provider shall deliver draft documents by the delivery deadline where reasonably feasible. Requester shall review and provide consolidated comments within five (5) business days of delivery to permit timely finalization. Revisions beyond two rounds of material edits may be billed as additional services at Provider's prevailing rates.

Representations; Limitations

Provider represents that it will perform services in a professional and workmanlike manner. Provider does not provide legal, tax, or regulatory advice unless expressly stated in writing and signed by an authorized attorney or advisor retained by Provider. Requester retains responsibility for reviewing final documents for legal sufficiency and compliance with applicable law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. Exclusive venue for disputes arising under this Agreement shall lie in the courts of that state unless the parties agree otherwise in writing.

Entire Agreement

This Agreement, including any attachments and accepted written proposals or statements of work incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior understandings, proposals, negotiations, and agreements, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.
