RECITALS

WHEREAS, Client is engaged in the business described above and desires to retain Contractor to perform certain services described herein; and

WHEREAS, Contractor represents that it has the skill, experience, and resources necessary to perform the services on the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

SCOPE OF WORK

Contractor shall provide the services and deliverables described below. Services shall be performed in a professional and workmanlike manner consistent with industry standards.

PAYMENT TERMS

Client shall pay Contractor the fees set forth below in exchange for the performance of the Scope of Work. All sums are payable in United States dollars unless otherwise agreed in writing.

TERM AND TERMINATION

This Agreement commences on the Start Date and continues until the End Date unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within the notice period set forth above. Termination does not relieve either party of obligations accrued prior to termination, including payment for services rendered.

CONFIDENTIALITY

"Confidential Information" means any non-public information disclosed by one party to the other, whether oral, written, electronic, or tangible, that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure.

Receiving party shall (a) use Confidential Information solely for the performance of this Agreement, (b) restrict disclosure to those of its employees, agents, or subcontractors with a need to know and who are bound to confidentiality obligations at least as protective as those herein, and (c) implement reasonable safeguards to protect Confidential Information from unauthorized use or disclosure.

Upon termination or request, receiving party shall return or destroy Confidential Information. Check if return is required:

Confidentiality obligations shall survive termination for a period of three (3) years, except that trade secrets shall remain protected for as long as they meet statutory definition of trade secret. Nothing in this Agreement restricts either party from disclosing Confidential Information as required by law, provided the disclosing party provides prompt notice and cooperates with any protective measures.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for purposes of any action arising out of this Agreement.

ENTIRE AGREEMENT

This Agreement, including all exhibits and schedules attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remainder of the Agreement shall continue in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that either party may assign to an affiliate or in connection with a merger, acquisition, or sale of substantially all assets.
